Asset tokenization in Nicaragua

In Nicaragua, an investment token is a security under Capital Markets Law 587: a public offering needs SIBOIF authorization and, to trade on an exchange, the security must sit with a central securities depository. We review with you the right and the technical structure that can be prepared.

Can assets be tokenized in Nicaragua?

There is a formal route, but a narrow one. Law 587 reserves public offerings for parties authorized by SIBOIF and for securities issued in series, and only securities held at a central securities depository trade on an exchange, with its register identifying the holder. The BCN virtual asset rules exclude securities, and our guide records documented difficulties in defending property rights.

What gets tokenized

Debt, equity and revenue: what gets tokenized in Nicaragua

Almost every tokenized issuance represents one of these three rights against the issuer. In Nicaragua, an economic right is a security if it can trade on an exchange, and the superintendent decides when in doubt. If the security is held at a central securities depository, its book-entry register identifies the holder, not the token.

How it is issuedOnly securities issued in series, homogeneous and fungible, can be offered to the public, with SIBOIF authorization and a registered prospectus. Below 360 days, debt is commercial paper; from there on, it is a bond. To trade on an exchange the security must sit with a central securities depository, so the token would be a technical mirror of that register. When the founders subscribe every share in a single act, it is not a public offering; successive incorporation and capital increases open to third parties are. A central securities depository can keep the issuer's share register, and deposited securities transfer by entry in its book-entry register.Only assets that already generate cash flows and sit on the originator's balance sheet can be securitized: the law excludes mere expectations and future rights. The fund's securities exist only as electronic book entries. A revenue right outside that structure can still be a security if the superintendent classifies it as one.
Regulation

Which regulation applies to tokenization in Nicaragua?

Regulation guide for Nicaragua

Capital Markets Law 587, with SIBOIF as supervisor. There is no regime for tokenized securities: a tradable economic right is a security, its public offering needs authorization and a registered prospectus, and only securities registered with a central securities depository trade on an exchange. The BCN regulation on virtual assets leaves securities out.

Outside a full public offering, the route that exists is narrow and still runs through SIBOIF: the superintendent can exempt an offering in whole or in part because of its small amount, the restricted number of buyers or the investors' qualification, unless the issuer already has securities admitted to an exchange. A BCN virtual asset service provider license does not replace that authorization.

Our guide also records documented difficulties in defending property rights, and the EU and the United States maintain measures against designated persons and entities, which are reviewed for each counterparty. What can be prepared is the analysis of the right, the SIBOIF filing and the platform. We coordinate that work with the law firm, and only authorized entities provide the regulated services.

Methodology

How we tokenize an asset in Nicaragua, step by step

The four phases of our methodology, adjusted to the Nicaraguan framework: the first two can be done today, and the last two depend on SIBOIF authorizing or exempting the offering.

  1. We review the asset's title, encumbrances and cash flows and define with the issuer whether the token would represent a bond, a share or a securitization security. That sets the issuing company, the amount and the authorization the issuance would need from SIBOIF.

  2. The law firm assesses whether the right is a security, prepares the issuance resolution and the prospectus, or the exemption request, and agrees with the central securities depository how holders will be registered. Without that authorization, the next phases do not start.

Word legal opinion classifying the tokens in an asset tokenization, with the law firm's tracked changes
  3. We design the white-label platform and the ERC-3643 tokens with the issuance rules, investor onboarding with KYC and reconciliation with the central securities depository, whose book-entry register is what identifies the holder before the issuer.

Residential project page on a white label asset tokenization platform under the issuer's brand
  4. Fundraising only starts once SIBOIF has authorized or exempted the offering. Then we prepare the offering page with the issuer and, if it places the issuance, the brokerage firm; until that point no offer is made to investors.

Institutional custody, integrated

We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.

FAQ

Frequently asked questions about tokenization in Nicaragua

What we are asked before a project starts.

Talk to our team
  1. Is it legal to tokenize assets in Nicaragua?

There is no specific regime for tokenized securities. An investment token is a security under Law 587, and offering it to the public requires SIBOIF authorization, issuance in series and a registered prospectus. If the security is held at a central securities depository, its register identifies the holder, not the token.

  2. Does a BCN virtual asset license allow investment tokens to be offered?

No. The 2025 BCN regulation defines a virtual asset excluding digital representations of securities and other financial assets. A token representing debt, shares or a tradable economic right follows Law 587 and its supervisor, SIBOIF, even if a provider licensed by the BCN distributes it.

  3. Is there a private offering without authorization in Nicaragua?

The law does not set one out as a free route. The superintendent can exempt an offering in whole or in part because of its small amount, the restricted number of buyers or the investors' qualification, and only securities issued in series can be offered to the public. Non-serial securities follow commercial law, with no public offering.

  4. Does the token grant ownership of the asset?

Not by itself. The token would represent a right against the issuer or against a securitization fund, and Law 587 presumes that the holder is whoever appears in the book-entry register of securities. The issuance documents set out what the investor acquires.
