Asset tokenization in Turkey
We build the platform to tokenize bonds, shares and revenue rights in Turkey: investor onboarding, ERC-3643 tokens and reconciliation with MKK records, coordinated with the law firm that structures the issuance under Capital Markets Law 6362 and its 2024 amendment.

Why tokenize assets in Turkey?
Under Law 6362, Turkish securities are issued in book-entry form at MKK, the central securities registry, and the 2024 amendment lets the SPK set rules for issuing them as crypto-assets, with legal effect in the authorized provider's electronic record. Before designing, two questions need answers: which record has legal effect for each issuance, and how the central bank's ban on paying with crypto-assets applies.

Resmî Gazete · Jul 2, 2024Debt, equity and revenue: what gets tokenized in Turkey
Almost every tokenized issuance represents one of these three rights against the issuer. The right determines the vehicle, the applicable law and which record has legal effect, and it is settled before the network or the token standard.
| Right | Debt | Equity | Revenue |
|---|---|---|---|
| What is issued | Corporate bonds and bills | Shares in an A.Ş. | Lease certificates and revenue rights |
| The investor receives | The investor lends to the issuer and receives interest and, at maturity, the principal, always in lira through the banking system. | The investor joins the share capital: dividends, voting rights and a share of any sale or liquidation. | The investor receives a share of the income from an asset: rents, energy sold, sales or royalties. |

| Issuer | A.Ş. | A.Ş. only | Asset leasing company |
| Register | MKK | MKK if publicly offered | MKK |
| Law | Law 6362, arts. 13 and 31 | Law 6362; Commercial Code | Law 6362, art. 61 |
| How it is issued | A joint stock company issues them by resolution of the general meeting, or of the board if the articles delegate it, within the limit set by the SPK, and they are recorded at MKK. If the issuer defaults, the MKK document can be used to lift an objection in enforcement. The SPK approves the prospectus or issuance document. | Holdings in a Ltd. Şti. are transferred in writing with notarized signatures and, unless the articles say otherwise, general meeting approval, so they cannot be the token. In crowdfunding, the Ltd. Şti. first converts into an A.Ş. and all its shares are then recorded at MKK. | Turkish law has its own instrument: the lease certificate, issued by a joint stock company set up solely for that purpose, which entitles holders to the asset's income in proportion to their investment. A revenue right in another form is classified by function: a capital markets instrument or a crypto-asset under Law 7518. |
Which regulation applies to tokenization in Turkey?
If the token is a capital markets instrument, such as a bond or a share, it follows Law 6362 and the SPK, the Capital Markets Board, supervises it: an approved prospectus to offer it to the public and a book entry at MKK. Law 7518 of 2024 added the regime for crypto-asset service providers, which need SPK authorization to be incorporated and to operate.
The same law allows the SPK to set rules for a security to be issued as a crypto-asset and kept in the provider's record instead of at MKK. In that case, ownership and transfer are governed by that record, and the SPK can require it to be integrated with MKK. Unless an issuance follows those rules, MKK is the record with legal effect and the token mirrors it.
The central bank's 2021 regulation bans the use of crypto-assets in payments, although its definition excludes capital markets instruments. That is why we design subscriptions and distributions in lira through the banking system. The offer routes are a prospectus, an issuance document for sales without a public offer, or a crowdfunding platform; the law firm we coordinate with chooses the route, and authorized entities provide the regulated services.

Our legal partners
How we tokenize an asset in Turkey, step by step
The four phases of our methodology, with the parties involved in Turkey. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be debt, shares or a revenue right. That sets the vehicle, an A.Ş. or an asset leasing company, the amount and the offer route.

The law firm classifies the token, prepares the prospectus or issuance document for the SPK and decides which record will have legal effect: MKK or, if the issuance follows the SPK rules for securities issued as crypto-assets, the authorized provider's record.

We configure the white label platform with your brand: investor onboarding with KYC, signature, payment in lira and ERC-3643 tokens carrying the offer's rules. Reconciliation with MKK records and coupon or distribution schedules are custom development.

With the issuer and the placing entity or crowdfunding platform, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Institutional custody, integrated
We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.
Frequently asked questions about tokenization in Turkey
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in Turkey?
Yes, within the capital markets framework. A tokenized bond, share or lease certificate follows Law 6362: the SPK approves the prospectus or issuance document and the security is recorded at MKK. What is not allowed is using crypto-assets to pay, and providing crypto-asset services requires SPK authorization.
Can a Turkish Ltd. Şti. be tokenized?
Its holdings cannot be the token: the Commercial Code requires a written document with notarized signatures and, unless the articles say otherwise, general meeting approval for each transfer. To raise money from investors, the route is converting into an A.Ş., which crowdfunding requires before the funds are released.
Which offer route is used in Turkey?
For the public, a prospectus approved by the SPK. Without a public offer, for example to qualified investors, an issuance document that the SPK also approves. For smaller projects, an authorized crowdfunding platform, with a maximum per project over 12 months that the SPK publishes each year in its bulletin. The law firm confirms the route in each case.
Can coupons be paid in stablecoins?
No. The central bank regulation bans the direct or indirect use of crypto-assets in payments. Even if the tokenized security falls outside that definition, the subscription, coupons and dividends are paid in lira through the banking system, and the token records the right, not the money.
