Asset tokenization in Lithuania
We build the platform to tokenize bonds, shares and revenue rights in Lithuania: investor onboarding, ERC-3643 tokens and reconciliation with securities accounts, coordinated with the law firm that structures the issuance under the Law on Securities, the Law on Companies or MiCA.

Why tokenize assets in Lithuania?
Lithuania has no dedicated law for DLT securities: the token follows general securities law. Lietuvos bankas set out in 2019 how to classify and record it, and in 2025 it granted a permission under the EU pilot regime to trade and settle securities on DLT. Following the 2026 reform, a public offer below €12 million does not require a prospectus.

Law on Securities · Apr 2026Debt, equity and revenue: what gets tokenized in Lithuania
Almost every tokenized issuance represents one of these three rights against the issuer. The right determines the vehicle, the applicable law and who keeps the securities accounts, and it is settled before the network or the token standard.
| Right | Debt | Equity | Revenue |
|---|---|---|---|
| What is issued | Bonds | Shares | Revenue rights |
| The investor receives | The investor lends to the issuer and receives interest and, on the redemption date, the nominal value. | The investor joins the share capital: dividends, voting rights and a share of any sale or liquidation. | The investor receives a share of the income from an asset: rents, energy sold, sales or royalties. |

| How it is issued | Both the public company (AB) and the private company (UAB) issue them as intangible securities recorded in securities accounts. A UAB can offer them to the public, except convertibles, if it hires an authorized account manager and publishes a prospectus, an information document or a crowdfunding platform's key investment information sheet. | Shares in a UAB are securities but cannot be distributed to the public: they can only be offered, under a prospectus exemption, to shareholders, employees, creditors and professional or informed investors, and the UAB or an account manager it hires keeps their accounts. Reaching the public requires an AB, with minimum capital of €25,000. | Lietuvos bankas classifies it by function and rights, not by its name. As a security, it fits a bond whose interest is calculated on the asset's income, since the law allows the calculation method to be set; if it is not a financial instrument, it may fall under MiCA. |
Which regulation applies to tokenization in Lithuania?
It depends on the right the token represents. If it is a financial instrument, such as a bond or a share, the Law on Companies, the Law on Securities and investment services rules apply, and Lietuvos bankas supervises it. If not, it may fall under MiCA, which Lithuania applies alongside its national law on crypto-asset markets adopted in 2024.
The 2019 guidelines accept that a DLT record can serve as a financial instrument account if the system ensures the integrity of the issuance and reconciliation with each holder's rights. Trading and settling on DLT is a separate matter: it requires a permission under the EU pilot regime, which belongs to each infrastructure and does not extend to other platforms.
There are three routes to investors: an approved prospectus, an information document for offers between €1 million and €12 million over 12 months, or a crowdfunding platform authorized by Lietuvos bankas. The law firm we coordinate with chooses the route and drafts the documents, and authorized entities keep the accounts and provide the regulated services.

Our legal partners
How we tokenize an asset in Lithuania, step by step
The four phases of our methodology, with the parties involved in Lithuania. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be debt, shares or a revenue right. That sets the vehicle, an AB or a UAB, the amount and who the offer can reach.

The law firm classifies the token under the Lietuvos bankas guidelines, drafts the issuance resolution and chooses the offer route: prospectus, information document or crowdfunding platform. For public bonds, the UAB first hires the account manager.

We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules. Reconciliation between the on-chain record and the securities accounts, and coupon or dividend schedules, are custom development.

With the issuer and, where there is one, the placing entity, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

If the token is a security, custody on behalf of clients is provided by an authorized entity.
Frequently asked questions about tokenization in Lithuania
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in Lithuania?
Yes. Bonds and shares can be represented by tokens within general securities law: Lietuvos bankas applies the same rules whatever the technology, and MiCA covers crypto-assets that are not financial instruments. What requires authorization is the activity: keeping securities accounts, placing the issuance, custody or providing crypto-asset services.
Can a UAB tokenize its shares?
Only to a limited extent. The Law on Companies bars distributing a UAB's shares to the public and only allows them to be offered, under a prospectus exemption, to its shareholders, employees, creditors and professional or informed investors. An open offer requires an AB. A UAB can, however, offer non-convertible bonds to the public.
How much can be raised without a prospectus in Lithuania?
Following the April 2026 reform of the Law on Securities, a public offer that is not passported to other EU states needs no prospectus if the issuer raises less than €12 million over 12 months. From €1 million, it publishes an information document. On a crowdfunding platform, the EU limit is €5 million per project owner.
Can the on-chain record replace securities accounts?
It can serve as a financial instrument account if it meets the conditions in the Lietuvos bankas guidelines: system integrity, reconciliation with holders and legal compliance. The token still represents a right against the issuer, not ownership of the asset, and trading it on a DLT infrastructure requires a pilot regime permission.
