Asset tokenization in Switzerland

We build the platform to tokenize bonds, shares and revenue rights in Switzerland: investor onboarding, ERC-3643 tokens and the ledger for ledger-based securities under Article 973d of the Code of Obligations, coordinated with the law firm that structures the issuance under FinSA.

Why Switzerland

Why tokenize assets in Switzerland?

Since February 2021, the Code of Obligations has allowed a bond or a share to be recorded on a DLT ledger and exercised and transferred only through it. That year FINMA authorized a central securities depository for digital assets, and in 2025 the first DLT trading facility. A public offer of up to CHF 8 million over 12 months needs no prospectus.

What gets tokenized

Debt, equity and revenue: what gets tokenized in Switzerland

Almost every tokenized issuance represents one of these three rights against the issuer. The right determines the vehicle, the applicable law and who keeps the register, and it is settled before the network or the token standard.

How it is issuedThey are issued as ledger-based securities: the registration agreement ties the right to the DLT ledger, and transfers follow that agreement's rules. The issuer is responsible for the ledger always operating in line with it, even when a third party runs it.The AG's articles of association must provide for shares to be issued as ledger-based securities. GmbH capital contributions can only be documented in an evidentiary certificate or a registered security, are assigned in writing and, unless the articles say otherwise, need the members' approval.FINMA treats asset tokens as securities, including those giving a share in earnings streams, when they are standardized and suitable for mass trading. In that case they are issued as ledger-based securities and their public offer follows FinSA.
Regulation

Which regulation applies to tokenization in Switzerland?

Regulation guide for Switzerland

Securities tokenization rests on the 2021 DLT reform, which added ledger-based securities to the Code of Obligations and DLT trading facilities to the Financial Market Infrastructure Act (FMIA). Public offers follow the Financial Services Act (FinSA), and FINMA authorizes whoever provides custody, trading or distribution. Switzerland is not part of the EEA: MiCA does not apply.

Article 973d does not require the ledger to be run by an authorized entity, but it must meet its requirements: give holders, not the issuer, the power of disposal, protect its integrity, document the content of the rights and let holders check their entries without a third party. The issuer is responsible for how it operates. Multilateral trading is a different matter: it requires an authorized infrastructure, such as the DLT trading facility FINMA licensed in 2025 for supervised participants, usually banks.

A public offer requires a prospectus unless an exemption applies: up to CHF 8 million over 12 months, fewer than 500 investors or professional clients only, among others. If the securities are admitted to a DLT trading facility, the prospectus rules apply by analogy. We coordinate the structure with law firms that specialize in Swiss law, and custody and distribution are provided by entities holding the license or affiliation each activity requires.

Methodology

How we tokenize an asset in Switzerland, step by step

The four phases of our methodology, with the parties involved in Switzerland. The law firm and our engineering team work in parallel from the asset review to investor acquisition.

  1. We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be debt, shares or a revenue right. That sets the vehicle, an AG or a GmbH, the amount and the rules of the issuance.

  2. The law firm classifies the token, drafts the registration agreement and the issuance documents, and chooses the offer route: a prospectus or one of the FinSA exemptions. It also identifies which activities need a FINMA license or affiliation with an SRO.

Word legal opinion classifying the tokens in an asset tokenization, with the law firm's tracked changes
  3. We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules. The ledger is designed to meet the Article 973d requirements, and connections to custodians or trading venues are custom development.

Residential project page on a white label asset tokenization platform under the issuer's brand
  4. With the issuer and, where there is one, the distributing entity, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

What does our white label tokenization platform include in Switzerland?

The investor portal, ERC-3643 tokens and issuer console, under your brand. Out of the box it handles onboarding, signing, payment and distributions; anything else your issuance needs, such as a local payment method or a connection to your bank or custodian, we build on the same platform.

Institutional custody, integrated

We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.

FAQ

Frequently asked questions about tokenization in Switzerland

What we are asked before a project starts.

Talk to our team
  1. Is asset tokenization legal in Switzerland?

Yes. Since February 1, 2021, the Code of Obligations has regulated ledger-based securities: a right that, by agreement between the parties, is recorded in a ledger and can only be exercised and transferred through it. What may require a FINMA license or SRO affiliation is custody, trading or distribution.

  2. Can GmbH capital contributions be tokenized?

Not as ledger-based securities: the law only allows a GmbH contribution to be documented in an evidentiary certificate or a registered security, its assignment must be in writing and, by default, approved by the members' meeting. A GmbH can issue tokenized bonds, or convert into an AG to tokenize its shares.

  3. How much can be raised without a prospectus in Switzerland?

FinSA exempts from a prospectus a public offer that does not exceed CHF 8 million over 12 months, that is addressed to fewer than 500 investors or only to professional clients, among other exemptions. Outside them, a reviewed prospectus is required, and the law firm confirms which exemption fits each issuance.

  4. Does the token give ownership of the property?

No. In Switzerland, ownership of real estate is acquired by entry in the land register, and the transfer contract must be notarized. The token represents a right against the issuer, usually the owning company: a bond, a share or a stake in its income.
