Asset tokenization in Bahrain
We build the platform to tokenize debt, shares and revenue rights in Bahrain: investor onboarding, ERC-3643 tokens and the offering rules of the CRA-15 chapter, coordinated with the law firm and with the digital token advisor licensed by the Central Bank of Bahrain.

Why tokenize assets in Bahrain?
Bahrain regulates offerings of tokens with the features of a security in its own rulebook: since 2023, chapter CRA-15 of the Central Bank of Bahrain (CBB) rulebook has set how an issuance is approved, documented and placed. It requires a licensed token advisor, an approved whitepaper and specific offering conditions, so the design starts from that chapter.

CBB · CRA-15.1.15Debt, equity and revenue: what gets tokenized in Bahrain
Almost every tokenized issuance represents one of these three rights against the issuer. In Bahrain, the CBB classifies the token by its economic purpose and the rights attached, and the result determines whether the offering falls under CRA-15. That classification is settled before the network or the token standard.

| How it is issued | A token evidencing a debt with a fixed maturity, redeemable at maturity and entitled to interest is equivalent to a bond and is a security. The offering needs the CBB's written approval, and the token's term cannot exceed five years. | A token conferring an ownership interest in the issuer or a share of its profits is equivalent to a share. Founders and senior management must hold at least 50% of the equity at issuance and cannot sell for one year; shares in a W.L.L. are not tradable. | An asset token is a security if it gives a financial entitlement: it is bond-like if the cash flow is predetermined and share-like if it is a share of profit. A transferable utility token is also treated as a security. |
Which regulation applies to tokenization in Bahrain?
If the token has the features of a security, its offering is regulated by the CBB and needs the CBB's written approval, which is processed through a digital token advisor holding a CRA license. The CBB classifies the token by its economic purpose and rights: a transferable utility token can also be a security. Stablecoins follow a separate module, SIO.
The whitepaper, in Arabic and English, includes a legal adviser's declaration on the enforceability of the token's rights, and the CBB decides within 30 working days of receiving a complete file. Its approval does not validate the project. The money goes into an account at a Bahraini retail bank and only reaches the issuer if the minimum subscription is met.
After the issuance, the advisor holds the tokens in custody and keeps the register of initial holders; later trading runs through platforms of Category 3 or 4 licensees with published rules. We coordinate the structure with specialist law firms, and authorized entities provide the regulated services.

Our legal partners
How we tokenize an asset in Bahrain, step by step
The four phases of our methodology, with the parties involved in Bahrain. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be debt, equity or a revenue right. That sets the issuer (an unlisted company in Bahrain or in a jurisdiction the CBB accepts), the amount and the rules of the issuance.

The law firm classifies the token under CRA-15 and, with the digital token advisor, prepares the whitepaper, the legal declaration on the enforceability of the rights and the application to the CBB. It also sets the minimum subscription, the offer period and the schedule for releasing funds.

We configure the white label platform with your brand for the licensed advisor to operate: investor onboarding with KYC, signature, payment and ERC-3643 tokens. The holder register, the two-business-day cooling-off period and refunds if the minimum is not met are custom development.

With the issuer and the advisor, we prepare the offer page, whose marketing material the CBB approves first, and measure the journey to a paid subscription. After the issuance, the platform handles distributions, permitted transfers and reporting.

Institutional custody, integrated
We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.
Frequently asked questions about tokenization in Bahrain
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in Bahrain?
Yes. The CBB regulates offerings of tokens with the features of a security in chapter CRA-15 of its rulebook and approves them in writing, through a licensed digital token advisor. Classification depends on the token's rights, not its name, and stablecoins have their own module, SIO.
Can shares in a W.L.L. be tokenized?
No. The Commercial Companies Law bars a W.L.L. from issuing negotiable shares or bonds and from public subscription, and assigning its shares requires a written instrument with certified signatures, the partners' pre-emption right and entry in the Commercial Registry. The law firm assesses which issuer fits CRA-15, which requires an unlisted company.
What conditions does the CBB set for a token offering?
The offer period runs from 10 calendar days to three months, the minimum subscription cannot be lower than 80% of the offer size, and investors have at least two business days to withdraw at no cost. If the minimum is not reached, the advisor refunds the money within five business days and reports to the CBB.
Does the token give ownership of the property?
Not by itself. The token represents the right described in the whitepaper against the issuer: a debt, an interest in its equity or a share of its profits. Ownership of the property depends on its formalities and on who is recorded as owner, and the offering's legal declaration must explain what the investor can claim.
