Asset tokenization in Finland
We build the platform to tokenize bonds, shares and revenue rights in Finland: investor onboarding, ERC-3643 tokens and a connection to whichever register each issuance requires, coordinated with the law firm that structures it under Finnish securities law or MiCA.
Tokenize your assetThey trust Metlabs to tokenize their assets
Why tokenize assets in Finland?
Finland has no dedicated law on tokenized securities, but since 2023 its Companies Act has allowed shares to be recorded in a DLT Pilot Regime settlement system, and shares in a private Oy are securities that can be offered to the public. The practical decision is which right to tokenize and who keeps its legal register.

Securities Markets Act 746/2012Debt, equity and revenue: what gets tokenized in Finland
Almost every tokenized issuance represents one of these three rights against the issuer. In Finland, the right determines the applicable law and who keeps the legally effective register, and it is settled before the network or the token standard.

| How it is issued | Securities law treats them as securities, and both an Oy and an Oyj can issue them, although an Oy cannot take them to a regulated market. In book-entry form, the register is Euroclear Finland, the country's only central securities depository, or an authorized DLT Pilot Regime system. | Shares in a private Oy are securities and can be offered to the public, though not listed on a regulated market. Outside Euroclear, the board keeps the shareholder register and records each transfer once it receives proof of the acquisition and of payment of the transfer tax. | Classification is decided case by case under ESMA's guidelines: if it is a security, securities law applies; if not, and it is fungible, it may fall under MiCA. If it is agreed as a subordinated capital loan (pääomalaina), company law only allows it to be repaid and remunerated from unrestricted equity. |
Which regulation applies to tokenization in Finland?
It depends on the right the token represents. If it is a financial instrument, such as a bond or a share, it follows the Finnish Securities Markets Act (Arvopaperimarkkinalaki) and EU prospectus rules, with FIN-FSA as supervisor. If not, it may fall under MiCA and Act 402/2024, which implements it; both exclude financial instruments.
There is no national law on DLT securities. What exists is a 2023 amendment to the Companies Act: shares can be recorded in a settlement system under the EU Pilot Regime and, if that system is exempt from book-entry form, the technical solution must guarantee the shareholder register and the exercise of shareholder rights. In January 2026 no Finnish infrastructure appeared on ESMA's Pilot Regime list, so a Finnish company's shares are recorded with Euroclear Finland, in the register kept by the board or in an infrastructure authorized in another member state.
There are three routes to investors: an offer with an approved prospectus; an exempt offer, which from €1 million over 12 months requires a key information document published and filed with FIN-FSA; or a crowdfunding platform authorized under the EU regulation. The law firm structures the issuance with us, and authorized entities provide the regulated services.

Our legal partners
How we tokenize an asset in Finland, step by step
The four phases of our methodology, with the parties involved in Finland. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be a bond, shares or a revenue right. That sets the vehicle, an Oy, or an Oyj if a regulated market is the goal, the amount and the rules of the issuance.

The law firm classifies the token, drafts the terms or the articles of association and chooses the offer route: prospectus, exempt offer with its key information document or crowdfunding platform. It also decides whether the shares or bonds are recorded with Euroclear Finland or stay in the company's own register.

We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules and the clauses in the articles. Reconciliation with the shareholder register and coupon or dividend schedules are custom development.

With the issuer and, where there is one, the placing entity, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Institutional custody, integrated
We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.
Frequently asked questions about tokenization in Finland
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in Finland?
Yes. A tokenized share or bond is still a security subject to the Securities Markets Act, and MiCA, together with Act 402/2024, regulates crypto-assets that are not financial instruments. What requires authorization is the activity: placing the issuance, operating a trading system or holding assets in custody for others.
Can a Finnish Oy tokenize its shares?
Yes. Its shares are securities and can be offered to the public; only the regulated market is closed to it, as that is reserved for the Oyj. If they stay outside Euroclear, the board records each transfer in the shareholder register on proof of acquisition, and the articles can set consent or redemption clauses that the token enforces on every transfer.
How much can be raised without a prospectus in Finland?
It depends on the route. A crowdfunding platform allows up to €5 million per project owner over 12 months. Outside it, the exemption threshold is set by the EU Prospectus Regulation, which the Listing Act revised in 2024, and from €1 million Finnish law requires a key information document. The law firm confirms it for each offer.
Does the token give ownership of the property?
Not by itself. The property stays recorded in the land register of the National Land Survey (Maanmittauslaitos), and housing company shares that give the right to an apartment are recorded in its own system and cannot enter the book-entry system. The token represents a right against the issuing company.
