Asset tokenization in Malta
We build the platform to tokenize bonds, shares and revenue rights in Malta: investor onboarding, ERC-3643 tokens and reconciliation with the register of members or debenture holders, coordinated with the law firm that structures the issuance under Maltese securities rules or MiCA.

Why tokenize assets in Malta?
Malta has no dedicated law for DLT securities: a tokenized bond or share follows the Companies Act and securities rules, and title is recorded in the company's register. The MFSA applies MiCA alongside the 2024 national law, and in May 2026 it opened a public consultation on how tokenized financial instruments should fit the framework.

Almost every tokenized issuance represents one of these three rights against the issuer. The right determines the vehicle, the applicable law and who keeps the register, and it is settled before the network or the token standard.
| Right | Debt | Equity | Revenue |

| What is issued | Bonds and debentures | Shares in a plc | Revenue rights |
| The investor receives | The investor lends to the issuer and receives interest and, at maturity, the principal. | The investor joins the share capital: dividends, voting rights and a share of any sale or liquidation. | The investor receives a share of the income from an asset: rents, energy sold, sales or royalties. |

| How it is issued | There is no dedicated regime for DLT securities: title is recorded in the register of debentures the company keeps or at a central securities depository, and the token must reflect it. Outside a depository, a transfer requires a written instrument. A private company cannot offer debentures to the public. | Title comes from the register of members the company keeps or from a book entry at a central securities depository, and the token has to match it. A private company must restrict the transfer of its shares, have at most 50 members and not invite the public to subscribe for them. | Classification is decided case by case: a financial instrument follows securities rules; if it is not one and is fungible, it may fall under MiCA, with the MFSA as the authority. Contractually, it takes the form of an association en participation, where the investor contributes and receives a share of a business's results. |
Which regulation applies to tokenization in Malta?
It depends on the right the token represents. If it is a financial instrument, such as a bond or a share, the Companies Act and securities rules apply, with the MFSA as the competent authority. If not, it may fall under MiCA, which Malta applies through the 2024 Markets in Crypto-Assets Act; the former Virtual Financial Assets (VFA) Act was repealed on July 3, 2026.
Maltese company law does not provide for registration on DLT: bonds and shares are recorded in the register of members or debentures, or at a central securities depository, and the company remains responsible for keeping it accurate. That is why the platform reconciles every token transfer with that register. Between May and June 2026, the MFSA consulted on whether tokenization fits the existing EU framework or calls for guidance or national measures.
A public offer of securities needs a prospectus approved by the MFSA or an exemption under the Prospectus Regulation, and only a public company can make it. The EU DLT Pilot Regime, which the MFSA also supervises, allows DLT trading and settlement infrastructures under a permission of their own. We coordinate the structure with specialist law firms, and authorized entities provide the regulated services.

Our legal partners
How we tokenize an asset in Malta, step by step
The four phases of our methodology, with the parties involved in Malta. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be debt, shares or a revenue right. That sets the vehicle, a plc or an Ltd, the amount and the rules of the issuance.

The law firm classifies the token, drafts the issuance document and chooses the offer route: MFSA-approved prospectus, exemption or crowdfunding platform. If the token is a MiCA crypto-asset, it prepares the white paper.

We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules. Reconciliation with the register of members or debentures, or with the depository, and coupon or dividend schedules are custom development.

With the issuer and, where there is one, the placing entity, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Institutional custody, integrated
We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.
Frequently asked questions about tokenization in Malta
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in Malta?
Yes. A bond or a share can be represented by tokens as long as title stays recorded in the register the Companies Act requires, and MiCA, applied through Malta's 2024 law, regulates crypto-assets that are not financial instruments. What requires MFSA authorization is the activity: placing the issuance, holding assets in custody or providing crypto-asset services.
Can a Maltese private limited company tokenize its shares?
Its shares can be mirrored in tokens, but the law requires it to restrict their transfer, stay at or below 50 members and not invite the public to subscribe for shares or debentures. For an offer open to investors, the vehicle is a public limited company, with a minimum authorized share capital of €46,587.47.
How much can be raised without a prospectus in Malta?
It depends on the route. An authorized crowdfunding platform allows up to €5 million per project owner over 12 months. Outside it, the exemption threshold is set by the Prospectus Regulation, which the EU Listing Act revised in 2024, and the law firm confirms it for each offer.
Does the token give ownership of the asset?
Not by itself. In Malta the token represents a right against the issuer: a debenture, a share in the owning company or a right to its rents. The asset stays in its owner's name, usually the issuing company, and title to the shares or debentures is recorded in the company's register.
