Asset tokenization in Australia

We build the platform to tokenize debentures, shares and revenue participations in Australia: investor onboarding, ERC-3643 tokens and reconciliation with the registers the Corporations Act requires, coordinated with the law firm that structures the issuance using ASIC's INFO 225 guidance.

Why Australia

Why tokenize assets in Australia?

Australia treats a token according to what it promises: ASIC explains in its INFO 225 guidance that a tokenized bond is likely a debenture and a fractionalized building, a managed investment scheme. From April 8, 2027, the law also regulates tokenized custody platforms. For an issuer, the decision is which right to tokenize and whether to offer it via prospectus, crowdfunding or exemption.

What gets tokenized

Debt, equity and revenue: what gets tokenized in Australia

Almost every tokenized issuance represents one of these three rights against the issuer. In Australia, the right determines which financial product the token is under the Corporations Act, which document the offer needs and whether the company can be a Pty Ltd.

How it is issuedFor ASIC, a tokenized bond with a promise to repay principal and pay interest is likely a debenture, and therefore a security: offering it to retail investors generally requires a prospectus. The company keeps its register of holders even if the network records the holdings.A Pty Ltd can have no more than 50 non-employee shareholders and cannot make offers that need a prospectus, except to its shareholders, its employees or through crowd-sourced funding. Transfers are entered in the company's register of members. In ASIC's example of a tokenized building whose rents support the asset, the token is likely an interest in a managed investment scheme. With more than 20 members, or if promoted by a professional promoter, the scheme must be registered with ASIC.
Regulation

Which regulation applies to tokenization in Australia?

Regulation guide for Australia

The Corporations Act 2001. ASIC applies its INFO 225 guidance according to the token's substance: it can be a debenture, a share, an interest in a managed investment scheme or a derivative, and the offer and the services keep their requirements. The 2026 reform regulates platforms; it does not turn the network into a legal securities register, so the statutory registers still apply.

Offering securities to retail investors requires a prospectus unless an exemption applies: personal offers allow up to 20 investors and 2 million Australian dollars over 12 months, and crowd-sourced funding lets companies with less than 25 million in assets and turnover raise up to 5 million over 12 months through a licensed intermediary.

The Corporations Amendment (Digital Assets Framework) Act 2026 brings digital asset platforms and tokenized custody platforms into the licensing regime from April 8, 2027. Until then, the AFS license applies, alongside AUSTRAC registration for anti-money laundering. We coordinate the structure with specialist law firms, and licensed entities provide the regulated services.

Methodology

How we tokenize an asset in Australia, step by step

The four phases of our methodology, with the parties involved in Australia. The law firm and our engineering team work in parallel from the asset review to investor acquisition.

  1. We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be a debenture, a share or a revenue participation, which in Australia is often a managed investment scheme. That sets the vehicle, a Ltd or a Pty Ltd, the amount and the rules.

  2. The law firm classifies the token using INFO 225 and chooses the offer route: prospectus, exempt personal offer, crowd-sourced funding or registration of the scheme with its offer document. It also sets which AFS license each participant needs.

Word legal opinion classifying the tokens in an asset tokenization, with the law firm's tracked changes
  3. We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the exemption's limits. Reconciliation with the register of members or debenture holders the company keeps is custom development.

  4. With the issuer and the licensed intermediary placing the issuance, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Institutional custody, integrated

We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.

FAQ

Frequently asked questions about tokenization in Australia

What we are asked before a project starts.

Talk to our team
  1. Is asset tokenization legal in Australia?

Yes. The Corporations Act applies to the token according to the right it represents, and ASIC explains this with examples in its INFO 225 guidance. What requires a license is the activity: offering the product, dealing in it or operating a market requires an AFS license, and AUSTRAC registration only covers anti-money laundering.

  2. Can a Pty Ltd issue tokens to investors?

Within limits. A Pty Ltd cannot exceed 50 non-employee shareholders or make offers that need a prospectus, except to shareholders, employees or through crowd-sourced funding. It can use exempt personal offers, up to 20 investors and 2 million Australian dollars over 12 months. If it breaches the rules, ASIC may require it to become a public company.

  3. How much can be raised without a prospectus in Australia?

With personal offers, up to 2 million Australian dollars and 20 investors over 12 months. With crowd-sourced funding, a company with less than 25 million in assets and turnover can raise up to 5 million over 12 months, with its own offer document and through a licensed intermediary.

  4. What is a tokenized custody platform?

It is the arrangement the 2026 law regulates from April 8, 2027: the operator holds an asset other than money, creates one token for each asset, and whoever holds the token can redeem it or direct its delivery. The operator holds the asset on behalf of the token holder, for example as trustee or bailee.
