Franchise funding through tokenization. Capital for each new unit.

With franchise funding through tokenization, your network finances new locations with verified investors and pays them the agreed share of royalties or revenue from each unit, on a platform that carries its brand. The franchise agreement still governs the relationship with each franchisee.

Why now

Why tokenize a franchise now?

Franchising is an established model, and Spain has 1,295 franchise networks according to the Spanish Franchise Association. Even so, each new location is usually financed deal by deal. Tokenization opens that funding to more investors, with revenue sharing and reporting built in.

Platform

Platform for franchise funding and revenue distributions

Franchisor, franchisee and investor need different views and permissions. The white label platform brings together each series' issuance and payments, and the link to each location's POS is built custom.

  • Records for each location

Franchise agreement, territory, operator, opening budget and use of funds for every unit financed.

  • KYC onboarding

Onboarding of each investor with KYC and KYB, AML checks, a custodial wallet and e-signature for each issuance. Where required, the placement agent assesses appropriateness.

  • ERC-3643 permissioned token

It only moves between eligible investors, with a minimum investment, per-holder caps and a separate series for each issuance.

  • Connected sales data

POS sales, royalties and costs for each location, validated before calculating what each investor is owed. This is a custom integration.

  • Royalties and distributions

Scheduled payment of each coupon from the royalties the franchisor books each quarter, with reconciliation and a receipt for every holder.

  • Unit and network reporting

A franchisor console with investors, coupons paid and holder reports, plus per-location detail once the POS is connected.

Institutional custody, integrated

We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.

Structure

What right does a franchise token give?

Not the brand license or the running of the location. The token is a right against the issuer, either the franchisor or the vehicle that funds the opening, and that right decides the regulation, which investors you can target and how revenue is shared.

The franchisor takes part in the decision alongside your legal counsel, because the franchise agreement limits what can be assigned. A loyalty token for the network's customers is a different format, which grants perks and no economic rights.

Methodology

How we tokenize a franchise network, step by step

Funding a new location, a portfolio of units or a network's royalties follows four phases, with the franchisor involved in all of them. You define what the investor receives and what the franchise agreements allow to be assigned, launch the platform and take the issuance to the network, its customers and other investors.

  1. We analyze the network, its franchise agreements, unit sales and the target investor, and define what the token represents, equity in the vehicle behind an opening, a loan or a right linked to sales or royalties. A loyalty token for customers is a different format, with no economic rights.

  2. The law firm classifies the token and the issuer, reviews what the agreements allow to be assigned and sets the offering route, with a prospectus, under an exemption or through crowdfunding. Its opinion sets the token rules, such as who may invest or how each payment is calculated.

  3. The issuance runs on our white label platform under the network's brand, which already provides KYC onboarding, e-signature, SEPA or stablecoin payment, ERC-3643 tokens and distributions from the console. The link to the units' POS or sales data and a loyalty program are custom-built.

  4. The issuance first reaches people who already know the brand, franchisees and customers, and then other investors through the channels the offering route allows. We measure which channel ends in a subscription and, after closing, the issuer pays and reports from its console.

Assets

What can be tokenized in a franchise?

A network combines brand, agreements, locations, operators and revenue. Tokenization covers a specific right over one part of that whole, never the entire franchise.

  1. New location

Debt or equity in the vehicle that funds one identified unit.

  2. Location portfolio

Exposure to several units under shared criteria and reporting.

  3. Royalties

A contractual share of the royalties the franchisor collects.

  4. Unit revenue

A percentage of one location's sales for an agreed term.

  5. Equipment

Financing for machinery and fittings with documented ownership.

  6. Loyalty

Customer benefits, kept separate from any investment right.

Regulation

Which regulation applies to franchise tokenization?

Check the regulation by country

Two layers at once. Franchise rules govern the relationship with the franchisee, and securities rules apply to the right the investor buys.

With your law firm we settle the franchise agreement, the vehicle, the use of funds and the sales data source before any rule goes into the token's contract.

In Spain, Royal Decree 201/2010 requires the franchisor to provide written pre-contract disclosure at least twenty business days before signing. In the United States, the FTC Franchise Rule requires the disclosure document at least 14 calendar days before signing or any payment. The token does not grant a brand license unless the franchisor grants it.

Shares and bonds offered as an investment are transferable securities under MiFID II, and a loan can be channeled through the EU crowdfunding regulation. A royalty right is usually structured as a bond with a royalty-linked coupon to fit those frameworks. If the vehicle raises capital from a number of investors to invest it under a defined investment policy, rather than running its own business, it may be an alternative investment fund.

FAQ

Franchise tokenization FAQ

What we are asked before a project starts.

Talk to our team
  1. Does the token make the investor a franchisee?

No. The franchisee signs the franchise agreement and runs the location. The investor holds a right against the issuer, either the franchisor or the vehicle that funds the opening, such as equity, a loan or a share of revenue, with no brand license or management role unless the agreements say otherwise.

  2. Can investors sell their token before maturity?

Only if an eligible buyer is found or an agreed exit exists. A right to one location's revenue has a limited market and legal restrictions. A buyback can be documented, but its execution depends on the agreed conditions and the financial capacity of the party making the payment.

  3. How is each investor's revenue calculated?

From the sales or royalty data defined in the agreement. The platform validates each period before the payout and pays in proportion to each holder's tokens. If the data comes from the location's POS or accounts, that connection is built custom.

  4. What happens if a location closes or changes franchisee?

The documents decide. Closure, operator replacement and buyback scenarios are agreed before issuance, and the token contract carries them out, for example by freezing transfers or distributing the proceeds of liquidation to holders.

  5. Can several new locations be funded at once?

Yes, with one token series per location or a vehicle that pools a portfolio. The first gives investors exposure to a specific unit. The second spreads risk across several locations and simplifies the franchisor's reporting to investors.

  6. How does tokenization compare with other franchise funding options?

A bank loan, an SBA loan or equipment leasing funds the franchisee, who usually provides personal guarantees. Tokenization spreads the funding across many verified investors in exchange for a right over the network or the unit, such as tokenized bonds, and it needs its own legal structure and offering route.
