Asset tokenization in Bolivia
We build the platform to tokenize bonds, shares and securitization securities in Bolivia: investor onboarding, ERC-3643 tokens and reconciliation with the securities depository, coordinated with the law firm that structures the issuance under Securities Market Law 1834.

Why tokenize assets in Bolivia?
Bolivia names tokenized assets in its rules: Supreme Decree 5384 of 2025 lists them among the services of the financial technology companies that ASFI licenses. Issuance, however, follows Securities Market Law 1834, with no regime for securities on DLT, so a project has to resolve both layers from the start.

ASFI · SD 5384Debt, equity and revenue: what gets tokenized in Bolivia
Almost every tokenized issuance represents one of these three rights against the issuer. The right determines the issuing company, the security that is registered and who establishes the holder, and it is settled before the network or the token standard.
| Right | Debt | Equity | Revenue |
|---|---|---|---|
| What is issued | Bonds | Shares in a sociedad anónima | Securitization securities |
| The investor receives | The investor lends to the issuer and receives interest and, at maturity, the principal. | The investor joins the share capital: dividends, voting rights and a share of any sale or liquidation. | The investor is paid from a separate trust estate built on cash flows: sales, rents, contracts or real estate projects. |

|
| Issuer | S.A.; others with authorization | S.A. only | Securitization company (S.A.) |
| Register | EDV (book entry) | Share register book | EDV if issued as book entries |
| Law | Law 1834; Commercial Code | Commercial Code, arts. 250-251 | Law 1834, arts. 76-79 |
| How it is issued | A bond is a negotiable instrument embodying a share of a collective claim against the issuing company. In a public offering it is registered with ASFI's Securities Market Registry and, as a book entry, it exists through its registration with the securities depository: the token does not replace that entry. | Capital quotas in an S.R.L. cannot be represented by shares or negotiable instruments, and that company admits at most 25 partners. A sociedad anónima treats as owner of a registered share whoever appears on the certificate and in its register, and with 25 or more shareholders it must register its shares with the Securities Market Registry. | Cash flows, sale or lease contracts and real estate projects can be securitized into a separate estate, ring-fenced from the originator, which a licensed securitization company manages. Contractually, the Commercial Code's accidental association, or joint venture account, is the vehicle. |
Which regulation applies to tokenization in Bolivia?
There are two layers. Issuance follows Securities Market Law 1834: an offering addressed to the public or to specific sectors needs authorization and registration with ASFI's Securities Market Registry. And a company incorporated in Bolivia that provides financial services with tokenized or virtual assets falls under the financial technology company regime, with an ASFI incorporation permit and operating license.
There is no specific regime for tokenized securities. A book-entry security exists through its registration with a securities depository, and whoever is registered there is the holder vis-à-vis the issuer, which first executes a public deed setting out the terms of the issuance. In the securities market, brokerage firms are the only authorized intermediaries.
The UIF requires registration from virtual asset service providers that offer exchange, transfer or custody to third parties, and appearing on the ASFI adaptation list is not a final license. We coordinate the structure with the law firm preparing the issuance, and ASFI-authorized entities provide the regulated services.

Our legal partners
How we tokenize an asset in Bolivia, step by step
The four phases of our methodology, with the parties involved in Bolivia. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be a bond, a share or a securitization security over cash flows. That sets the vehicle, a sociedad anónima or a separate estate, the amount and the rules of the issuance.

The law firm classifies the token and prepares the application for authorization and registration with ASFI's Securities Market Registry. If the securities are book entries, the issuer executes the public deed of the issuance and files it with the securities depository.

We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules. Reconciliation with the securities depository, whose registration establishes the holder, and coupon or dividend schedules are custom development.

With the issuer and the brokerage firm placing the issuance, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Frequently asked questions about tokenization in Bolivia
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in Bolivia?
Yes, within two frameworks. Supreme Decree 5384 lists tokenized assets among the services that ASFI-licensed financial technology companies can provide, and issuing a security follows Law 1834: if the offering is addressed to the public or to specific sectors, it needs authorization and registration with the Securities Market Registry.
Can a Bolivian limited liability company be tokenized?
Its quotas cannot be the token: the Commercial Code prohibits representing them by shares or negotiable instruments, and their transfer is recorded in the partner register. Tokenizing the capital requires a sociedad anónima, one of the joint-stock companies Law 1834 admits as issuers in a public offering.
When is a securities offering public in Bolivia?
Law 1834 treats as public any invitation addressed to the general public or to specific sectors, through any channel, and always one made by a brokerage firm. Limiting a campaign to a group does not make it private, and in case of doubt the supervisor can declare the offering subject to the law.
Does the token give ownership of the property?
Not by itself. Recognizing tokenized assets as a service category does not settle how each right is transferred. The token represents a right against the issuer or a separate estate, and title to the security is established by the register the law requires, such as registration with the securities depository.
