Asset tokenization in Cyprus
We build the platform to tokenize debt, shares and revenue rights in Cyprus: investor onboarding, ERC-3643 tokens and reconciliation with the company's register, coordinated with the law firm that structures the issuance under Cap. 113, Law 87(I)/2017 or MiCA.

Why tokenize assets in Cyprus?
Cyprus applies MiCA with CySEC as supervisor, which has already authorized 16 crypto-asset service providers, and since 2025 it has accepted applications under the DLT pilot regime. Tokenized securities follow Law 87(I)/2017 and the Companies Law. For an issuer, the first decision is the vehicle: a private Ltd cannot offer its shares or debentures to the public.

Cap. 113, s. 29Debt, equity and revenue: what gets tokenized in Cyprus
Almost every tokenized issuance represents one of these three rights against the issuer. The right determines the type of company, the applicable law and the register that evidences ownership, and it is settled before the network or the token standard.
| Right | Debt | Equity | Revenue |
|---|---|---|---|
| What is issued | Debentures and bonds | Shares | Revenue rights |
| The investor receives | The investor lends to the issuer and receives interest and, at maturity, the principal. | The investor joins the share capital: dividends, voting rights and a share of any sale or liquidation. | The investor receives a share of the income from an asset: rents, energy sold, sales or royalties. |

| Issuer | Plc; a private Ltd with no public offer | Plc; Ltd with up to 50 members | Ltd or Plc |
| Register | Register of debenture holders | Register of members | Company register if a security |
| Law | Cap. 113 and Law 87(I)/2017 | Cap. 113 and Law 87(I)/2017 | Law 87(I)/2017 or MiCA |
| How it is issued | Every company keeps a register of debenture holders, and Cap. 113 bars a private Ltd from inviting the public to subscribe for its debentures, so an open issuance is made by a Plc. With no dedicated law on DLT securities, the token mirrors that register, and each transfer is registered with the instrument of transfer required by s. 73. | A private Ltd's articles must restrict the transfer of its shares, cap its members at 50 and prohibit any invitation to the public to subscribe, so its token circulates within a closed group. The register of members is prima facie evidence of ownership, and the token is reconciled with it. | Classification is decided case by case: if it meets the definition of a financial instrument in Law 87(I)/2017, which transposes MiFID II, securities rules apply; if not, and it is fungible, it may fall under MiCA. The right is set out in the contract with the issuer. |
Which regulation applies to tokenization in Cyprus?
It depends on the right the token represents. If it is a financial instrument, such as a debenture or a share, it follows Law 87(I)/2017, which transposes MiFID II, and the EU prospectus rules, with CySEC as supervisor; the issuing company is also governed by Cap. 113. If not, it may fall under MiCA, which excludes financial instruments and unique, non-fungible tokens.
Cyprus has no dedicated law on securities held on a distributed ledger, so the token sits alongside the registers Cap. 113 requires: the register of members, which is prima facie evidence of what it records, and the register of debenture holders. The specific route for trading and settling securities on DLT is the EU pilot regime, for which CySEC has accepted permission applications since June 2025; that permission comes on top of authorization as an investment firm, regulated market or central securities depository.
To reach investors, the issuance can go ahead with a prospectus approved by CySEC, rely on an exemption or be placed on an authorized crowdfunding platform. If the project holds or transfers e-money tokens on behalf of clients, the Central Bank of Cyprus may also require a payments authorization. We coordinate the structure with specialist law firms, and the regulated services are provided by authorized entities.

Our legal partners
How we tokenize an asset in Cyprus, step by step
The four phases of our methodology, with the parties involved in Cyprus. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be debt, shares or a revenue right. That sets the vehicle, a private Ltd for a closed group or a Plc for an open offer, the amount and the rules of the issuance.

The law firm classifies the token against the criteria of Law 87(I)/2017 or MiCA, drafts the issuance documents and chooses the offer route: a prospectus with CySEC, an exemption or a crowdfunding platform. Where needed, the company amends its articles to stop being a private company before issuing.

We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules, including a private Ltd's transfer restrictions. Reconciliation with the register of members or debenture holders and payment schedules are custom development.

With the issuer and, where there is one, the placing entity, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Frequently asked questions about tokenization in Cyprus
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in Cyprus?
Yes. A token that is a financial instrument follows Law 87(I)/2017 and the Companies Law, and MiCA regulates crypto-assets that are not. What requires authorization is the activity: providing crypto-asset services with CySEC's authorization, placing or trading securities as an investment firm, or operating a DLT pilot regime infrastructure.
Can a Cypriot private Ltd tokenize its shares?
Yes, for a closed circle: its articles restrict transfers, cap its members at 50 and prohibit inviting the public to subscribe for shares or debentures. The company only registers a transfer once it receives the instrument required by s. 73 of Cap. 113. For an open offer, it amends its articles and stops being a private company.
How much can be raised without a prospectus in Cyprus?
It depends on the route. A crowdfunding platform allows up to €5 million per project owner over 12 months. Outside it, the exemption threshold is set by the Prospectus Regulation, which the EU Listing Act revised in 2024 with effect from June 2026, leaving room for each member state. The law firm confirms the applicable figure for each offer.
Does the token give ownership of the property?
Not by itself. In Cyprus the token represents a right against the issuer: a debenture, a share in the owning company or a right to its rents. The property stays recorded with the Department of Lands and Surveys in its owner's name, usually the issuing company, and the issuance documents set out what the investor acquires.
