Asset tokenization in New Zealand
We build the platform to tokenize bonds, shares and revenue participations in New Zealand: investor onboarding, ERC-3643 tokens and reconciliation with the company's share register, coordinated with the law firm that structures the issuance under the Financial Markets Conduct Act 2013.

Why tokenize assets in New Zealand?
New Zealand has no tokenization statute, but its Financial Markets Conduct Act fits any token into four types of financial product and has clear exclusions for small, wholesale or licensed-platform offers. In March 2026 the FMA acknowledged the ownership and infrastructure questions still open, so an issuance has to rest on those categories.

FMC Act, Schedule 1Debt, equity and revenue: what gets tokenized in New Zealand
Almost every tokenized issuance represents one of these three rights against the issuer. In New Zealand, the right determines which FMC Act category the token falls into and what governance the offer requires: a supervisor for debt, the company's register for shares or a registered scheme.

| How it is issued | A right to be repaid money or paid interest is a debt security, including bonds and notes. In a regulated offer, the issuer needs a lodged trust deed and a licensed supervisor acting as trustee for investors. | Shares are transferred by entering the transferee's name on the company's share register, subject to its constitution, and that entry is prima facie evidence of legal title. The token has to be reconciled with that register. | If investors contribute money for benefits produced principally by the efforts of another person, without day-to-day control, it is a managed investment scheme. Offering it to retail investors requires registering the scheme, a governing document and a supervisor. |
Which regulation applies to tokenization in New Zealand?
The Financial Markets Conduct Act 2013. There is no dedicated tokenization law: the FMA applies its four categories, debt, equity, managed investment and derivatives, according to the token's rights. An offer to retail investors is a regulated offer and requires disclosure through a product disclosure statement (PDS) entered on the offers register, unless an exclusion applies.
There are three main exclusions: personal offers of up to 20 investors and 2 million New Zealand dollars over 12 months; offers to wholesale investors, including those with a minimum investment of 750,000 dollars, a warning and a signed acknowledgement; and offers through a licensed crowdfunding or peer-to-peer lending platform, with an aggregate limit of 2 million over 12 months.
The FMA's March 2026 tokenization report records fragmentation, ownership questions and infrastructure limits, and supports legislative development that does not yet exist. So the legal register is still the statutory one, such as the share register. We coordinate the structure with specialist law firms, and FMA-licensed entities provide the regulated services.

Our legal partners
How we tokenize an asset in New Zealand, step by step
The four phases of our methodology, with the parties involved in New Zealand. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be debt, shares or a revenue participation, which in New Zealand is often a managed investment scheme. That sets the vehicle, the amount and the rules of the issuance.

The law firm places the token in the FMC Act categories and chooses the route: a regulated offer with a PDS, a small personal offer, a wholesale offer or a licensed platform. Regulated debt adds the trust deed and the supervisor; a scheme adds its registration.

We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the chosen exclusion's limits. Reconciliation between the tokens and the share register the company keeps is custom development.

With the issuer and, where there is one, the licensed platform placing the issuance, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Institutional custody, integrated
We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.
Frequently asked questions about tokenization in New Zealand
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in New Zealand?
Yes. The Financial Markets Conduct Act applies to the token according to its rights, even though there is no crypto-asset statute. What requires a license or registration is the activity: making a regulated offer, operating a crowdfunding platform or offering a scheme to retail investors. Registering on the financial service providers register is not an FMA license.
How are tokenized shares in a New Zealand company transferred?
By entering the transferee's name on the share register, kept by the company or its agent, subject to the constitution. That entry is prima facie evidence of legal title and lets the company treat the registered holder as the person who votes and receives distributions. The token has to reflect that register.
How much can be raised without a PDS in New Zealand?
With personal offers, up to 2 million New Zealand dollars and 20 investors over 12 months. Through a licensed crowdfunding or peer-to-peer lending platform, the aggregate limit is 2 million over 12 months. Offers to wholesale investors, such as those with a minimum investment of 750,000 dollars, do not need a PDS either.
Does New Zealand law recognize a blockchain record as a legal register?
There is no specific rule. The FMA's March 2026 report points precisely to the ownership and record questions still to be resolved. Today, for shares, legal title is evidenced by the company's share register, and the token is designed to stay reconciled with it.
