Asset tokenization in Ireland
We build the platform to tokenize bonds, shares and revenue rights in Ireland: investor onboarding, ERC-3643 tokens and reconciliation with the register of members or debenture holders, coordinated with the law firm that structures the issuance under the Companies Act 2014 or MiCA.

Why tokenize assets in Ireland?
Ireland has no dedicated law for DLT securities: a tokenized bond or share follows the Companies Act 2014, which requires a written instrument of transfer and entry in the company's register. The Central Bank of Ireland has applied MiCA since 2024, and in March 2026 it opened a public discussion on DLT and tokenization.

Almost every tokenized issuance represents one of these three rights against the issuer. The right determines the vehicle, the applicable law and who keeps the register, and it is settled before the network or the token standard.
| Right | Debt | Equity | Revenue |
|---|---|---|---|
| What is issued | Bonds and debentures | Shares in a plc | Revenue rights |
| The investor receives | The investor lends to the issuer and receives interest and, at maturity, the principal. | The investor joins the share capital: dividends, voting rights and a share of any sale or liquidation. | The investor receives a share of the income from an asset: rents, energy sold, sales or royalties. |

| Issuer | LTD, DAC or plc | plc for a public offer | LTD, DAC or plc |
| Register | Issuer's register | Register of members | Company register if a security |

| How it is issued | There is no dedicated regime for DLT securities: the company only registers a transfer when it receives a written instrument, and the token must reflect that entry. An LTD or a DAC can offer debentures only under exemptions, such as qualified investors or fewer than 150 people, and a DAC can also have them admitted to trading. | Title comes from the register of members: the transferor remains the holder until the transferee is entered, and the company only registers a transfer against an instrument of transfer. An LTD can offer shares to qualified investors or to 149 people at most, and cannot list them. | Classification is decided case by case: a financial instrument follows securities rules; if it is not one and is fungible, it may fall under MiCA, with the Central Bank of Ireland as the authority. In that case the white paper is notified, with no prior approval from the supervisor. |
Which regulation applies to tokenization in Ireland?
It depends on the right the token represents. If it is a financial instrument, such as a bond or a share, the Companies Act 2014 and securities rules apply, and the Central Bank of Ireland (CBI) supervises. If not, it may fall under MiCA, which the CBI has applied as national authority since S.I. 607/2024; the transition for the former VASP register ended on December 30, 2025.
Irish company law does not provide for registration on DLT: a share is transferred with a written instrument, and the change counts once the company enters the transferee in its register of members. Transfer without a written instrument is only possible in systems the Minister regulates by regulations. That is why the platform reconciles every token transfer with the company's register. The CBI's March 2026 discussion paper raises enforceable rights, settlement and smart contract errors, but it is not a rule.
A public offer of securities needs a prospectus approved by the CBI or an exemption under the Prospectus Regulation, and only a plc can offer shares to the public. The EU DLT Pilot Regime allows DLT trading and settlement infrastructures under a permission of their own. We coordinate the structure with specialist law firms, and authorized entities provide the regulated services.

How we tokenize an asset in Ireland, step by step
The four phases of our methodology, with the parties involved in Ireland. The law firm and our engineering team work in parallel from the asset review to investor acquisition.
We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be debt, shares or a revenue right. That sets the vehicle, a plc, a DAC or an LTD, the amount and the rules of the issuance.

The law firm classifies the token, drafts the issuance document and chooses the offer route: CBI-approved prospectus, exemption or crowdfunding platform. If the token is a MiCA crypto-asset, it prepares the white paper that is notified to the CBI.

We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules. Reconciliation with the register of members or debenture holders and coupon or dividend schedules are custom development.

With the issuer and, where there is one, the placing entity, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Institutional custody, integrated
We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.
Frequently asked questions about tokenization in Ireland
What we are asked before a project starts.
Talk to our teamIs asset tokenization legal in Ireland?
Yes. A bond or a share can be represented by tokens as long as title is recorded as the Companies Act 2014 requires, and MiCA, which the CBI has applied since 2024, regulates crypto-assets that are not financial instruments. What requires Central Bank of Ireland authorization is the activity: placing the issuance, holding assets in custody or providing crypto-asset services.
Can an Irish LTD tokenize its shares?
With limits. An LTD can have at most 149 members, can only offer shares to qualified investors or to 149 people at most, and cannot list on any market. For an offer open to investors, the vehicle is a plc; a DAC can have debentures placed under an exemption admitted to trading.
How much can be raised without a prospectus in Ireland?
It depends on the route. An authorized crowdfunding platform allows up to €5 million per project owner over 12 months. Outside it, the exemption threshold is set by the Prospectus Regulation, which the EU Listing Act revised in 2024, and the law firm confirms it for each offer.
Does the token give ownership of the asset?
Not by itself. In Ireland the token represents a right against the issuer: a debenture, a share in the owning company or a right to its rents. The asset stays in its owner's name, usually the issuing company, and title to the shares is recorded in the register of members.
