Asset tokenization in Mexico

We build the platform to tokenize notes, shares and revenue rights in Mexico: investor onboarding, ERC-3643 tokens and the information system the LGTOC requires for electronic instruments, coordinated with the law firm that structures the offer under the Securities Market Law or the Fintech Law.

Why Mexico

Why tokenize assets in Mexico?

Mexico has no dedicated regime for DLT securities, but since the 2024 amendment the LGTOC recognizes negotiable instruments issued with any technology, provided the system preserves their integrity and their circulation is traceable. Together with private offers under the Securities Market Law and crowdfunding under the Fintech Law, there are defined routes for debt, equity and royalties.

What gets tokenized

Debt, equity and revenue: what gets tokenized in Mexico

Almost every tokenized issuance represents one of these three rights against the issuer. The right determines which company issues, which law governs the instrument and where the holder is recorded, and it is settled before the network or the token standard.

How it is issuedBonds (obligaciones) of a stock corporation can be issued as electronic instruments if the system that records them preserves their integrity and endorsements are traceable. The issuance deed is executed before a notary, a common representative is appointed and the amount cannot exceed the issuer's net assets.Membership interests in an S. de R.L. cannot be represented by negotiable instruments, and their assignment requires the consent of the majority of the capital. A stock corporation treats as shareholder whoever appears in its share register, which the token must mirror, and an S.A.P.I. may set transfer restrictions in its bylaws. The Fintech Law provides for co-ownership or royalty crowdfunding, through joint ventures (asociaciones en participación) or other agreements over a project's income, on an IFC authorized by the CNBV. Participation certificates over assets held in trust can only be issued by a credit institution acting as trustee.
Regulation

Which regulation applies to tokenization in Mexico?

Regulation guide for Mexico

It depends on the right the token represents and how it is offered. If it documents a security, the Securities Market Law applies: a public offer requires registration in the National Securities Registry, and a private offer is limited to institutional or qualified investors, fewer than one hundred people or other listed cases. The instrument itself is governed by the LGTOC.

Custody and payments depend on another boundary. The Fintech Law defines a virtual asset as a representation of value that the public uses as a means of payment, and Banxico's Circular 4/2019 bars banks and ITFs from offering their customers exchange, transfer or custody of those assets. Anyone exchanging or holding virtual assets without being a financial entity falls under the anti-money laundering regime as a vulnerable activity, whose new rules generally take effect on November 30, 2026.

There are three routes to investors: registration in the RNV, including the simplified registration introduced in 2023 for offers made only to institutional or qualified investors; a private offer under article 8; or a crowdfunding institution, whose instruments cannot be registered in the RNV. We work out the structure with specialist law firms, and authorized entities provide the regulated services.

Methodology

How we tokenize an asset in Mexico, step by step

The four phases of our methodology, with the parties involved in Mexico. The law firm and our engineering team work in parallel from the asset review to investor acquisition.

  1. We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be a note, a share or a revenue right. That sets the vehicle: an S.A. de C.V., an S.A.P.I. or a trust with a trust institution.

  2. The law firm classifies the token, drafts the issuance deed or the bylaws and chooses the route: private offer, RNV registration with a placement agent or an IFC. For bonds, the holders' common representative is appointed.

Word legal opinion classifying the tokens in an asset tokenization, with the law firm's tracked changes
  3. We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules. The on-chain register is designed as the instrument's information system, with traceable endorsements; the connection to the share register is custom development.

  4. With the issuer and, where involved, the IFC or the intermediary, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors with their entry in the company's register, and reporting.

Institutional custody, integrated

We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.

FAQ

Frequently asked questions about tokenization in Mexico

What we are asked before a project starts.

Talk to our team
  1. Is asset tokenization legal in Mexico?

Yes, if the token documents a right the law recognizes: the LGTOC accepts negotiable instruments issued with any technology when they meet its integrity and signature requirements. What requires authorization is the activity: a public offer needs RNV registration, intermediation of registered securities an authorized entity, and crowdfunding an IFC.

  2. Can a Mexican S. de R.L. be tokenized?

Its membership interests cannot be the token: the LGSM prohibits representing them with negotiable instruments, and their assignment requires the consent of members holding the majority of the capital. To tokenize its capital, it can first convert into an S.A. de C.V. or S.A.P.I. For debt, the LGTOC frames bonds as issuances by stock corporations; promissory notes carry no such limit.

  3. How much can be raised on a crowdfunding platform in Mexico?

For equity, co-ownership or royalties, up to 1,670,000 UDI per transaction on each IFC, extendable to 6,700,000 UDI with CNBV authorization, and a maximum of 7,370,000 UDI per applicant across all IFCs. Outside an IFC, a private offer under the Securities Market Law has no amount cap, but it does limit who can be offered.

  4. Does the token give ownership of the property?

Not by itself. The token represents a right against the issuer: a bond, a share in the owning company or a share of its rents. The closest figure to co-ownership is the LGTOC participation certificate, which grants an aliquot share of assets in an irrevocable trust and can only be issued by a credit institution acting as trustee.
