Nicaragua has a licensing regime for virtual asset service providers, separate from payment services. The Central Bank requires activity and commencement-of-operations approval, with capital and controls determined by service. Securities fall outside this regime’s virtual asset definition. The formal route must be assessed alongside individual permission scope and documented difficulties in legal protection for businesses.
In Nicaragua, a business combining payments and virtual assets must identify two distinct permissions: PSP and VASP. Providing both in the same application does not turn a payment licence into general exchange or custody authorisation.
Launch timing also depends on permit publication and authorised operational commencement. Investment tokens additionally require instrument and offering analysis, which provider licensing does not resolve.
How to distinguish payment and virtual asset permissions
Rule CDMF-XIII-2-25, approved in April 2025 and amended in August, regulates financial technology payment service providers, PSPs, and virtual asset service providers, VASPs. It repeals the 2022 regulation. The distinction follows activity: exchange, transfer, custody and virtual asset offering services have a permission separate from payment services.
The implementing regulation, approved in May 2025, incorporates July 2025 and July 2026 amendments. Its definition excludes digital representations of fiat currency, securities and other financial assets. A wallet may combine functions falling under different regimes; the technical interface does not itself determine the necessary authorisation.
Which authority supervises each activity
The Central Bank of Nicaragua, BCN, authorises and supervises these activities. Article 3 of the rule distinguishes non-bank licensing from prior registration for banks supervised by the Superintendency of Banks and Other Financial Institutions, SIBOIF. The bank licensing exception does not remove registration, controls or approved-service limits.
The Financial Analysis Unit, UAF, has responsibilities concerning money laundering, terrorism financing and proliferation financing. SIBOIF retains securities-market functions. Instrument classification and entity type must be assessed together; company incorporation, preventive registration and financial authorisation are not interchangeable documents.
Which permission the business model requires
Articles 5–7 of the rule require a corporation, viable business plan, suitable platform and paid-up capital determined by services. The highest applicable tier sets the minimum where activities are combined; the BCN may require additional risk-based capital. The decision period begins with complete documentation, not initial commercial contact. Publication makes the licence valid, followed by separate approval to commence operations.
Articles 3–8 of the regulation develop assessment, rectification, operational preparation and service extensions. Licences have indefinite duration, subject to suspension or revocation, and cannot be transferred. Article 32's capital transition until December 2026 concerns defined pre-existing PSPs; it is not a general exemption for new VASPs.
The public list examined contains payment providers with PSP identifiers. It is not treated as automatic evidence of VASP licences, despite both categories falling under the BCN. A project must verify its individual decision, services and operational commencement approval. The reviewed materials also establish no passport replacing requirements where clients are solicited.
How holder rights are documented
Article 2 of Capital Markets Law 587 covers tradable economic or proprietary rights, whether incorporated in a document or not, and reserves public offerings to authorised persons subject to statutory exceptions. That classification must be examined before treating an investment token as simply a virtual asset within VASP licensing.
Article 22 of the regulation requires an authorised VASP involved in offerings to assess the issuer, project, technical information and risks. It does not automatically give buyers ownership of the underlying asset or make every issuance an authorised security. Rights, registers and trading rules require separate analysis; authorised DLT infrastructure for every financial instrument has not been verified.

Which obligations continue during operations
Articles 19–23 establish exchange, transfer and custody controls, originator and beneficiary information, segregation, key management and reserve proofs. Specified obfuscation tools and assets preventing required traceability are prohibited. The exception for client-operated VPNs and express approval for certain return-bearing products prevent those rules being summarised as absolute bans on every technology or product.
The BCN portal publishes separate issuance and maintenance fees, which are not share capital. The July 2026 amendment updates reporting obligations and sanctions. Consortium Legal's June 2025 analysis explains the changed model, but its initial account must be checked against the amended regulation and individual application conditions.
What to prepare before launching the project
Inventory activities and link each to the licence or registration requested. Separate paid-in capital, fees and launch requirements, and retain evidence of the decision and start authorisation.
Design segregation, key management and transfer information within the application. For offering services, document issuer, rights, risks and distribution restrictions; a PSP provider list does not alone establish VASP permission.
The index retains the documented institutional barrier alongside formal licensing. Individual VASP permissions, cross-border solicitation conditions and each tokenized issuance's legal effectiveness require verification. Published rules and forms establish a procedure; they do not establish uniform outcomes, actual processing times for every applicant or guaranteed banking access.

Key takeaways
- PSP and VASP permissions are independent; neither substitutes for the other.
- A published licence also requires approval to commence operations.
- The public PSP register does not itself establish VASP licences.
- The regime’s existence does not remove documented institutional risks.
