Asset tokenization in the Dominican Republic

We build the platform to tokenize bonds, shares and trust securities in the Dominican Republic: investor onboarding, ERC-3643 tokens reconciled with the central securities depository and scheduled distributions, coordinated with the law firm that structures the offer under Law 249-17 and SIMV supervision.

Why the Dominican Republic

Why tokenize assets in the Dominican Republic?

Law 249-17 gives securities issuance a clear route: an offer authorized by the SIMV, dematerialization at a central depository and securitization through public offering trusts. A debt, equity or revenue token is designed on that route. What needs settling first is payments, because the payment system regulation bars several types of payment providers from dealing in virtual assets.

What gets tokenized

Debt, equity and revenue: what gets tokenized in the Dominican Republic

Almost every tokenized issuance represents one of these three rights against the issuer. In the Dominican Republic the right determines which company can issue and under which law, and in a public offer legal title always comes from the central depository: the token mirrors it and is reconciled with it.

How it is issuedAn S.R.L. or a simplified corporation can only offer fixed income securities to the public, and the SIMV authorizes the offer. The securities are dematerialized at a single central depository, and a transfer is enforceable against third parties from its entry there, not from the network.Only a sociedad anónima can offer shares to the public. A listed company must dematerialize all its shares, including those it does not offer, and securities in the same issuance or class carry the same rights. The token mirrors the depository's entry.Cash flows from present or future assets are securitized in a public offering trust or a separate estate, and the trust company or securitization company issues securities paid only from those resources. The cash flow must be calculable from historical data or documented projections.
Regulation

Which regulation applies to tokenization in the Dominican Republic?

Regulation guide for the Dominican Republic

A token representing a security follows Securities Market Law 249-17 and is supervised by the SIMV, the only authority that authorizes public offers. There is no general virtual asset service provider license, and the Central Bank's payment system regulation bars seven categories of payment providers from offering products based on virtual assets.

Every public offer security is dematerialized by book entry at an authorized central depository, with a single depository per offer, and a transfer is enforceable against third parties once it is recorded there. There is no evidence that an entry on a blockchain network replaces that system, so the token mirrors the depository's register. SIMV authorization does not certify the issuer's solvency or the quality of the investment either.

The SIMV can classify any announcement with those features as a public offer and order it suspended. Because of the payment restriction, we design collections and distributions in legal tender through authorized channels. We work on the technical side with the issuer's law firm, and authorized securities intermediaries, trust companies and depositories provide the regulated services.

Methodology

How we tokenize an asset in the Dominican Republic, step by step

The four phases of our methodology, with the parties involved in the Dominican Republic. The law firm and our engineering team work in parallel from the asset review to investor acquisition.

  1. We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be a bond, a share or a trust security. That sets the vehicle: a sociedad anónima for shares, an S.R.L. or S.A.S. if it only issues fixed income, or a public offering trust.

  2. The law firm classifies the token and prepares the authorization request to the SIMV and the notarial deed required for book-entry representation. The issuance is recorded in the market register and the central depository records the securities.

Word legal opinion classifying the tokens in an asset tokenization, with the law firm's tracked changes
  3. We configure the white label platform with your brand: investor onboarding with KYC, signature and ERC-3643 tokens that mirror the positions recorded at the depository. Reconciliation with the depository and legal tender payments through authorized channels are custom development.

Residential project page on a white label asset tokenization platform under the issuer's brand
  4. With the issuer and the securities intermediary placing the issuance, we prepare the offer page, which must carry the legal disclaimer on SIMV authorization, and measure the journey to a paid subscription. Afterwards, the platform handles distributions and reporting.

Platform

What does our white label tokenization platform include in the Dominican Republic?

The investor portal, ERC-3643 tokens and issuer console, under your brand. Out of the box it handles onboarding, signing, payment and distributions; anything else your issuance needs, such as a local payment method or a connection to your bank or custodian, we build on the same platform.

Institutional custody, integrated

We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.

FAQ

Frequently asked questions about tokenization in the Dominican Republic

What we are asked before a project starts.

Talk to our team
  1. Is asset tokenization legal in the Dominican Republic?

No law prohibits tokenization and none addresses it specifically: a token representing a security follows Law 249-17, with an offer authorized by the SIMV and a book entry at a central depository. The restrictions are in payments: the SIPARD regulation bars seven categories of providers from offering virtual asset products, and there is no general provider license.

  2. Can an S.R.L. issue tokens in the Dominican Republic?

Only debt tokens. Law 249-17 allows a limited liability company or a simplified corporation to make public offers of fixed income securities only. Offering shares to the public requires a sociedad anónima, and in both cases the SIMV authorizes the offer and the securities are recorded at a central depository.

  3. Can a token be offered without SIMV authorization?

Not if it has the features of a public offer, which the law defines as any offer to the public or to specific groups, through any medium, of an indeterminate number of securities. The SIMV can classify an unauthorized announcement as such, intervene the offeror and order it suspended, without prejudice to other administrative, civil and criminal actions.

  4. Does a token for a hotel or property give ownership of it?

Not by itself. The token represents the right set by the issuance: a bond, a share in the owning company or a security of a public offering trust. The property remains subject to its own transfer and registration formalities, and ownership of the securities is evidenced by the entry at the central depository.
