Asset tokenization in Czechia

We build the platform to tokenize bonds, shares and revenue rights in Czechia: investor onboarding, ERC-3643 tokens and a connection to whichever register each issuance requires, coordinated with the law firm that structures it under Czech capital markets law or MiCA.

Why Czechia

Why tokenize assets in Czechia?

Since October 2024, the Prague central securities depository has operated a DLT settlement system authorized by the Czech National Bank, the first of the six on the EU Pilot Regime list in January 2026. Czech law treats an instrument issued on DLT as an investment instrument; what remains is to decide which right to tokenize and in which company.

What gets tokenized

Debt, equity and revenue: what gets tokenized in Czechia

Almost every tokenized issuance represents one of these three rights against the issuer. In Czechia, the right determines the applicable law and whether the security must be recorded in the central register, and it is settled before the network or the token standard.

How it is issuedThe Bonds Act does not limit who can issue them. In book-entry form, Czech law only allows the central register of the Prague depository and the accounts that depend on it, and since 2024 that depository has had an authorized DLT settlement system. A paper bond is an order instrument.A holding in an s.r.o. can be represented by a kmenový list, but it is an order instrument that cannot be held in book-entry form or offered to the public. That is why an equity token starts from an a.s. with book-entry shares, with minimum share capital of CZK 2 million or €80,000.Classification is decided case by case under ESMA's guidelines: if it is an investment instrument, capital markets law applies; if not, and it is fungible, it may fall under MiCA. Contractually, a Civil Code silent partnership (tichá společnost) can be limited to the results of a single business unit.
Regulation

Which regulation applies to tokenization in Czechia?

Regulation guide for Czechia

It depends on the right the token represents. If it is an investment instrument, such as a bond or a share, it follows the Czech Capital Market Undertakings Act (ZPKT), the Bonds Act and EU prospectus rules, with the Czech National Bank (ČNB) as supervisor. If not, it may fall under MiCA and Act 31/2025, which completes it; both exclude financial instruments.

The ZPKT states expressly that an instrument issued using distributed ledger technology is an investment instrument, and that Czech book-entry securities can only be recorded in the depository's central register and the accounts that depend on it. The permission the ČNB granted to the Prague central securities depository, effective October 11, 2024, covers a DLT settlement system with exemptions from the CSD Regulation; it is not a general license for trading, custody or issuance.

There are three routes to investors: an offer with an approved prospectus; an exempt offer, which for bonds between €100,000 and €1 million over 12 months requires expanded terms of issue published on the issuer's website; or an authorized crowdfunding platform. The law firm structures the issuance, we build the platform, and authorized entities provide the regulated services.

Methodology

How we tokenize an asset in Czechia, step by step

The four phases of our methodology, with the parties involved in Czechia. The law firm and our engineering team work in parallel from the asset review to investor acquisition.

  1. We review the asset's title, encumbrances and cash flows, and decide with the issuer whether the token will be a bond, shares or a revenue right. That sets the vehicle, an a.s. for shares or an s.r.o. issuing bonds, the amount and the rules of the issuance.

  2. The law firm classifies the token, drafts the terms of issue and chooses the offer route: a prospectus approved by the ČNB, an exempt offer with expanded terms or a crowdfunding platform. It also decides whether the securities are recorded in the central register or in the Prague depository's DLT system.

Word legal opinion classifying the tokens in an asset tokenization, with the law firm's tracked changes
  3. We configure the white label platform with your brand: investor onboarding with KYC, signature, payment and ERC-3643 tokens carrying the offer's rules. Reconciliation with the depository's register or its DLT system and coupon or dividend schedules are custom development.

  4. With the issuer and, where there is one, the placing entity, we prepare the offer page and measure the journey to a paid subscription. After the issuance, the platform handles distributions, transfers between verified investors and reporting.

Platform

What does our white label tokenization platform include in Czechia?

The investor portal, ERC-3643 tokens and issuer console, under your brand. Out of the box it handles onboarding, signing, payment and distributions; anything else your issuance needs, such as a local payment method or a connection to your bank or custodian, we build on the same platform.

Institutional custody, integrated

We integrate custody and key management providers through their APIs, including Fireblocks, BitGo, Coinbase Prime, Anchorage Digital, Copper and Ledger Enterprise. Depending on the provider and model, keys are managed with MPC or multisig so that none depends on a single device. If the token is a security, custody on behalf of clients is provided by an authorized entity.

FAQ

Frequently asked questions about tokenization in Czechia

What we are asked before a project starts.

Talk to our team
  1. Is asset tokenization legal in Czechia?

Yes. Capital markets law treats an instrument issued using distributed ledger technology as an investment instrument, and MiCA, together with Act 31/2025, regulates crypto-assets that are not; the ČNB has exercised those powers since February 15, 2025. What requires authorization is the activity: placing, operating a trading system or custody.

  2. Can a Czech s.r.o. be tokenized?

Its holdings make a poor token: the kmenový list that can represent them is an order instrument, cannot be held in book-entry form, and the law bars offering it to the public or admitting it to trading. An s.r.o. can issue tokenized bonds, or convert into an a.s. to issue book-entry shares.

  3. How much can be raised without a prospectus in Czechia?

A crowdfunding platform allows up to €5 million per project owner over 12 months. For bonds between €100,000 and €1 million over 12 months, a public offer without a prospectus publishes expanded terms of issue. The general threshold is set by the EU Prospectus Regulation, which the Listing Act revised in 2024. The law firm confirms it for each offer.

  4. Does the token give ownership of the property?

Not by itself. The property stays recorded in the Czech land cadastre (katastr nemovitostí), which holds its factual and legal information, including the owner, and a token does not replace it. The token represents a right against the issuing company: a bond, a share in the owning company or a right to its income.
