What is tokenization of companies and startups? Essential guide 2026
Rights, company form, DLT records and funding routes: criteria for structuring a company issuance without assuming liquidity.

Companies can raise funding by bringing in shareholders, taking on debt or establishing other contractual relationships with contributors. Tokenizing a company involves representing selected rights from those relationships through tokens and organizing their records and operations. The chosen instrument defines what investors receive and what obligations the company assumes.
For a startup, the usefulness of that record needs to be considered alongside the funding round and its subsequent administration. Subscription, ownership changes and the exercise of rights require a coherent structure. In Spain, that structure depends on the company form and instrument, which need to be defined before designing the platform.
What the investor acquires
In an equity transaction, the investor acquires the corporate position established through the relevant documents and acts. Economic, voting and information rights matter, as do transfer restrictions and the rules for future capital increases. A wallet balance must correspond to that position without creating a contradictory second register.
With debt, the company undertakes payment obligations on agreed terms. The investor does not thereby become a shareholder. Maturity, remuneration, security, subordination and default provisions form part of the product; an interface cannot adequately describe them through a yield figure alone.
Other arrangements may involve revenue-linked rights, future conversion or access to services. Their commercial labels do not determine legal classification. The whole contract and planned activities need examination, rather than treating every revenue-sharing arrangement as a single category.
Why the company’s legal form matters
Article 92 of Spain’s Companies Act distinguishes shares in an S.A. from ownership interests in an S.L. In particular, S.L. interests cannot be represented by certificates or book entries and do not qualify as securities. Creating a token does not make it correct to treat an S.L. interest as a transferable share.
Law 6/2023 provides for distributed ledger systems to represent transferable securities. The interaction between these rules requires attention to the specific instrument and company. Restrictions on representing an S.L.’s capital do not mean that all its possible financing arrangements are equivalent or use the same structure.
If an additional vehicle is proposed, the documentation must explain what that vehicle owns and the investor’s rights against it. An intermediary company can change costs, governance and risk exposure. The platform should make this chain visible so that an indirect investment is not mistaken for direct ownership of the startup.
Token classification and distribution
A crypto-asset that qualifies as a financial instrument falls outside MiCA under its Article 2. This does not mean it ceases to be a digital representation of value or rights. It means MiCA is not the general framework that determines its regulation.
The assessment should separate issuance from third-party activities such as order reception, placing, advice, custody and trading. Offer documentation and participant authorisations are different questions. An exemption from a publication requirement does not automatically release an intermediary from its own obligations.
In Spain, representing securities through DLT also requires considering the issuance document and the ERIR. Identity and eligibility checks must be assigned to the appropriate participants and connected to the operating process. Putting an identity form in front of a wallet is insufficient.
Bringing a funding round onto a platform
A round needs clear business states. An investment application, acceptance of terms, receipt of money and allocation of a position are separate events. A sound architecture allows each step to be reconstructed, including the document version and the participant that confirmed it.
For a hypothetical example, an investor may pay after an application expires. The system needs to detect this and route it through the agreed procedure, rather than allocating a position automatically from a bank reference. Likewise, a token issuance failure must not erase the evidence of money received.
Closing requires reconciliation of positions, funds and documents. Operations continue afterwards through investor reporting, transfers, payments and corporate decisions. Budgeting only for initial subscription omits the part of the system that may need to operate for years.
Governance and subsequent changes
If a token includes voting functionality, the design must specify which decision it records and which corporate procedures remain necessary. Counting votes in a contract does not establish, by itself, that a resolution meets all requirements for legal effect. Identity, entitlement, meeting formalities and evidence need treatment appropriate to the case.
Future rounds, rights changes and lost access also need consideration. Administrative functions should correspond to documented procedures. If position recovery or contract upgrades are possible, it must be possible to establish who authorised the operation and what changed.
As an engineering practice, a permissions matrix helps translate these decisions into tests: who proposes, approves and executes each operation. This does not replace legal requirements; it helps verify that the software implements those that have been established.
Assessing value and cost
Tokenisation may be useful when several participants need to share positions, enforce transfer restrictions and coordinate events consistently. Its suitability should be compared with a conventional alternative for the same number of investors and operations. A simple arrangement may not justify additional technical and operational dependencies.
The budget should separate structuring, distribution, recordkeeping, development, security review and maintenance. It should also describe exit arrangements: information export, provider replacement and continuity during incidents. Access to source code does not guarantee the ability to operate without accompanying identity, infrastructure or reconciliation services.
An asset tokenisation proposal should map rights, participants and operations before committing to an architecture. That map provides a basis for assessing whether the technology simplifies the round and its subsequent administration, and whether the investor experience accurately describes the product being acquired.
