Texas has a money-transmission regime, specific rules for certain custodial platforms and published guidance on bank custody. Licensing depends on the funds received, their transmission and the rights associated with the asset. The state bitcoin reserve and recognition of virtual currency property rights do not independently authorise private services or securities offerings.
In Texas, a business exchanging tokens or holding customer assets should start with money flows and redemption rights. The presence of a stablecoin and how it is received for transmission may change the applicable framework.
Alongside money transmission, certain custodial trading platforms face customer asset protections. Tokenized debt or interests add securities and property-rights analysis, separate from the operator’s permission.
How money flows and stablecoins affect the Texas analysis
Texas applies several frameworks to digital assets. Finance Code Chapter 152, the Money Services Modernization Act, regulates money transmission. Chapter 160 adds obligations for certain platforms trading and holding customer assets. Banking, property and securities rules apply according to function; incorporating a Texas company does not authorise all these services.
Supervisory Memorandum 1037, revised on 28 January 2025, supersedes the April 2019 policy. The supervisor distinguishes receiving non-stablecoin virtual currency alone from transactions involving money or stablecoins within the statutory definition. Relevant stablecoin features include a sovereign currency peg, backing and redemption rights against the issuer. An actual reserve shortfall does not remove a stablecoin from regulation.
Which authority supervises each activity
The Texas Department of Banking administers money transmission, supervises state banks and enforces obligations for providers covered by Chapter 160. Its August 2023 notice explains the replacement of former Chapter 151 with Chapter 152 and the commencement of customer asset protections. Historical references to Chapter 151 must be read alongside that update.
The Texas State Securities Board supervises securities offerings and activities within its jurisdiction. Federal anti-money laundering, securities and derivatives obligations remain activity-dependent, as explained in the United States guide. No state permission provides a passport to solicit customers nationwide or replaces permissions required in other jurisdictions.

Which permission the business model requires
Section 152.101 requires licensing for covered activity and provides exceptions, including activities under an authorised delegation subject to statutory conditions. It also covers advertising and holding oneself out as a money transmitter. The assessment must describe fund flows, delivery commitments and each entity's functions; incorporating a company or filing an application does not establish licensed status.
Exchanging cryptocurrency for sovereign currency does not itself constitute currency exchange under Finance Code definitions. It may constitute money transmission depending on how funds are received and delivered. SM1037 requires individual analysis and an independent security review for applications involving virtual currency in money transmission. Neither universal licensing for crypto-fiat transactions nor a blanket exemption for crypto-crypto transactions is supported.
The INX consent order 2026-004 evidences a licence granted in September 2024 and supervisory action in March 2026 concerning a change of control completed without prior approval. The agreement does not constitute an admission of the findings by the entity. It demonstrates granted access and continuing obligations; it neither certifies every service's compliance nor allows a licence to be freely transferred.
How holder rights are documented
Business & Commerce Code Chapter 12 governs specified rights in virtual currency and its control. A purchaser meeting the requirements of value, control and absence of notice of an adverse claim may receive protection against that claim. The assessment depends on the system and effective powers to benefit, exclude others and transfer control.
This protection concerns virtual currency within the statute. It does not automatically transfer real estate, a receivable or an interest that a token purports to represent. Documentation must identify the right against the issuer, how the underlying asset transfers and applicable claim procedures. A blockchain identifier does not replace the asset's registration requirements or formalities.
Securities legislation covers shares, bonds and other instruments, including investment contracts. A tokenized offering requires assessment of registration, notice filing or exemption and the intermediary's regulatory status. The state reserve established by SB21, effective from 20 June 2025, is a public asset management programme; it does not authorise stablecoin issuance or private investment distribution.

Which obligations continue during operations
Chapter 160 applies to platforms that trade and custody assets, do business in Texas, hold a money-transmission licence and either serve more than five hundred digital asset customers in the state or hold at least ten million dollars in customer funds. Banks are excluded, and exclusions by rule or order are contemplated. Falling below these thresholds does not resolve Chapter 152 or federal applicability.
For covered providers, section 160.004 restricts commingling with own funds, collateral for transactions unrelated to the contributing customer and arrangements preventing full withdrawal. It permits individual accounts or specified customer omnibus accounts. Requirements include a plan for at least quarterly access to account information and reporting within ninety days after fiscal year-end, with asset and liability evidence and an independent US-licensed CPA's attestation. The Sarbanes-Oxley audit alternative satisfies only expressly identified provisions.
The June 2021 banking guidance recognises existing custody powers subject to appropriate risk management and controls. It distinguishes contractual safekeeping from fiduciary custody: the latter requires trust powers and may require a charter amendment. Ownership, responsibilities, key security and technology-provider oversight must be specified. The permission alone does not establish insurance coverage or identical insolvency outcomes for every agreement.
What to prepare before launching the project
Prepare a map of dollars, stablecoins and other assets identifying recipient, beneficiary, custodian and delivery obligation. For each stablecoin document its peg, reserves and redemption right, and assess the model against SM1037.
If Chapter 160 covers the platform, design segregation, balance access and asset and liability evidence from the outset. Independent security review and offering documentation serve different purposes and should have named owners.
The favourable local assessment reflects published criteria and evidenced access, with separate activity-specific requirements. Before operating, projects must confirm asset classification, exemptions, entity permissions, custody terms, applicable regulations and distribution territories. Documentary research does not establish an individual provider's compliance or guarantee licensing times or banking access.

Key takeaways
- A crypto-fiat conversion does not by itself determine whether a licence is required.
- Chapter 160 combines licensing and specific thresholds; it does not automatically apply to every custodian.
- Fiduciary bank custody requires powers distinct from contractual safekeeping.
- Legal control of virtual currency does not establish ownership of real estate or another represented asset.

Frequently asked questions
SM1037 requires analysis of the model and how money is received and delivered. Exchanging crypto for money does not alone determine every obligation.
No. Chapter 160 thresholds define that framework; they do not resolve money transmission, securities offerings or federal obligations.
Chapter 160 restricts covered providers and governs customer accounts and withdrawals. Its limited operational exception is not general permission for proprietary use.
Asset evidence must not be confused with the full set of required reports, liabilities and attestations. The file must cover each applicable requirement.
Public asset management does not grant a licence to private issuers or platforms. Each product retains its own analysis.
