Pennsylvania requires licensing for professional virtual currency transmission covered by its 2025 law. The historical exclusion based on operating without fiat currency no longer describes the current framework. Specific limits apply to self-custody and commercial transactions between businesses. Tokenization combines controllable electronic record rules with securities analysis, underlying rights and provider obligations; neither technical control nor a monetary licence resolves every requirement.
A platform charging to transfer virtual currency for Pennsylvania customers must assess money transmission rules. Act 7 of 2025 expressly incorporated that activity: designing the operation around the former administrative interpretation may lead to an incorrect licensing conclusion.
A project issuing tokenized interests or debt must also establish the securities offering route and investor rights. Rules on control of electronic records do not replace that work or federal requirements.
How Act 7 incorporates virtual currency transmission
The Money Transmission and Virtual Currency Transmission Business Licensing Law, amended by Act 7 of 2025, requires authorisation for conducting virtual currency transmission through a transmittal instrument, for compensation and with or on behalf of an individual. The amendment took effect on 26 August 2025. The historical exclusion based on not handling fiat currency does not establish that all crypto-to-crypto exchanges are now free of licensing.
Section 2 excludes business-to-business transactions connected with commercial contracts unless they involve transmission for individuals’ personal or household purposes. It also delineates self-custody: using an own wallet differs from providing compensated transmission for another person. The virtual currency definition excludes certain non-convertible loyalty programmes and value used solely within the specified gaming environment; conditions matter more than token branding.
Which authority supervises each activity
The Department of Banking and Securities, DoBS, administers monetary regulation and supervises licensees. Its securities powers derive from the Pennsylvania Securities Act of 1972. Having the same department does not consolidate permissions: a platform may need separate analysis of transmission, securities distribution and intermediary or adviser activity. Federal regulation is addressed in the United States guide.
The August 2025 official bulletin explains the legislative sequence. In 2024 the department had interpreted money to include virtual currency; following the statutory amendment it withdrew that policy as redundant. Withdrawal did not restore a crypto exemption: the requirement became express statutory law. This distinction avoids confusing withdrawal of guidance with removal of the substantive obligation.

Which permission the business model requires
Sections 4 and 5 require at least $500,000 tangible net worth, supported by audited financial statements under US generally accepted accounting principles, and fitness assessment of the business and relevant individuals. Applications identify management, responsible persons, related activities and agents. An out-of-state applicant must provide the specified consent to service of process; formation elsewhere does not itself resolve access to Pennsylvania customers.
Section 6 sets a $5,000 initial fee and a $1 million bond through an authorised surety. The department may require additional security under the statutory procedure. Bond coverage is limited to defined circumstances and beneficiaries; it is neither general deposit insurance nor a substitute for required net worth. Budget separately for audit, controls and maintenance, without treating the bond’s face amount as a fee spent.
Sections 8 and 9 address term and renewal: an issued term does not exceed fourteen months and the renewal fee is $5,000. The supervisor describes annual renewal. Filing must precede expiry and financial qualifications must continue. Section 3 exemptions for financial institutions and certain agents depend on statutory conditions; a bank contract does not automatically make every technology company exempt.
How holder rights are documented
Act 41 of 2024 adds Division 12 to the commercial code, generally applicable sixty days after enactment. Controllable electronic records, or CERs, form a defined category: not every digital record or financial instrument belongs to it. Control requires powers over record benefits, exclusion and transfer, together with identification of the person holding those powers. Shared architectures must be checked against Section 12105 conditions.
Section 12104 governs acquisition and transfer of rights and protects qualifying purchasers subject to control, value, good faith and absence of notice of claims. That protection does not automatically make a token ownership of the represented real estate or asset. Identify issuer obligations, security interests, registers and underlying-asset rules. Existing transactions also require transitional analysis, without assuming reform eliminates established priorities.
If the instrument is a security, Section 201 requires registration, a security or transaction exemption, or federally covered security status. Intermediaries and advisers retain their own requirements. Design must therefore separate classification, offering, monetary services and transfer effectiveness. Incorporating a special-purpose vehicle or using an automated contract does not replace these checks.

Which obligations continue during operations
Sections 11 and 11.1, amended in 2025, hold licensees responsible for instruments issued directly or through agents and require safe and sound operations. They incorporate state and federal financial recordkeeping and monetary transaction rules, together with registration of agents dealing with individuals in Pennsylvania. Agency relationships require written agreements; outsourcing distribution does not remove the principal’s responsibilities.
Financial coverage must be documented under applicable rules and licence conditions. Bonding and minimum net worth do not justify advertising unlimited balance protection or government approval of the product. Custody and settlement arrangements should specify control powers, customer obligations and delivery procedures; self-custody branding does not override contractual authority to transmit for third parties.
For kiosks, SB 1015 proposes a specific framework. The official history consulted records committee referral on 17 September 2025 as its latest action. Its proposed disclosures, receipts or controls are not presented as enacted obligations; operators must first assess current transmission law and departmental conditions applicable to them.
What to prepare before launching the project
Prepare a receipt and delivery flowchart, identify consumer customers and document the licence or exemption applicable to each entity. Check the application against Act 7 and the consolidated statute, including continuing renewal and security obligations.
For an issuance, add asset agreements, the offering route and transfer restrictions. Treat proposed kiosk legislation as a monitoring issue until enactment and commencement are confirmed.

Frequently asked questions
No. It must be read alongside the replacing statute. Act 7 expressly incorporates virtual currency transmission for compensation.
Identify the parties, transfer purpose and exemption relied upon. A B2B label alone does not establish that all platform services fall outside the framework.
Not necessarily. The electronic record framework and transfer of the represented asset require separate analysis and consistent documentation.
Filing documents is not receiving a licence. The project must confirm permission or an applicable exemption before conducting covered activity.
A legislative proposal must not be treated as law. Check the text’s status and effective date before treating it as an obligation.
