Seychelles requires licensing for virtual-asset services and distinguishes ICO/NFT registration from securities regulation. Incorporating an IBC neither avoids supervision nor permits unrestricted operations abroad. The FSA retains an assessment pathway for certain existing operators, with conditional continuity, alongside substance, control and documentation requirements. Each entity’s status must be verified without confusing assessment with a final licence.
A business seeking to operate with tokens through a Seychelles company must establish its authorisation even if it serves customers from another country. Incorporating an IBC does not remove the VASP framework or the presence and operating requirements attached to licensing.
For an issuance, the first decision is different: determine whether the token represents a security, an ICO or an NFT within the applicable framework. FSA separates offering registration from provider licensing. That distinction prevents designing fundraising around a label inconsistent with the rights offered.
When the framework reaches a Seychelles company
The Virtual Asset Service Providers Act 2024 establishes the virtual-asset services and issuance framework. The central bank's 2024 report confirms publication on 30 August and commencement on 1 September. The FSA's legal catalogue groups the Act, regulations and guidance; these must be distinguished from consultation documents listed in the same section.
FSA FAQs explain that a Seychelles-incorporated company needs licensing even when providing services from another country without an initial local office. Offshore incorporation is not an exemption. Serving foreign markets also requires checking their permissions: a Seychelles licence does not confer an international passport.
What FSA supervises and when the central bank is involved
The Financial Services Authority, FSA, receives applications, defines permitted activities and supervises providers. Its April 2025 licensing guide distinguishes wallet, exchange, broking and investment services, which may be combined subject to approval. It also requires Central Bank of Seychelles authorisation where the applicant is an in-scope financial institution; VASP permission does not replace that sectoral check.
AML obligations apply under the AML/CFT Act and associated rules alongside financial consumer protection. The FSA explains risk assessment and control requirements, with compliance and reporting responsibilities. Applications must identify which entity provides each service and its supervisor, particularly in groups with providers and customers spread across jurisdictions.

How an application, transition and licence differ
The application guide separates receipt, completeness checks, assessment and final decision. It requires corporate documents, suitable officers, source-of-funds evidence, premises, a business plan, insurance and operational policies. The supervisor may request additional information, demonstrations and licence conditions. A complete application enables assessment; it guarantees neither approval nor a launch date.
The public VASP register distinguishes licences from applications under Assessment. For certain operators active before 1 September 2024, a complete application submitted within the transitional deadline permits continuity pending the FSA's decision. The 31 December 2024 deadline did not turn all pending applications into licences or grant automatic continuity to new operators.
How FSA classifies tokenized assets
The official tokenized-asset test excludes representations of fiat currency, securities and other financial instruments from the VASP definition. It then distinguishes ICOs and NFTs. It specifically places fractionalisation into interchangeable units under securities regulation rather than NFT registration. A token's commercial label is insufficient to select its regime.
The FSA provides an ICO/NFT issuer registration process, separate from service licensing applications. Issuance registration also does not establish that an investor directly acquires land, commodities or company shares. The structure must resolve underlying ownership, represented contractual or corporate rights, transfer, custody and insolvency enforcement under applicable law and documentation.

Which substance, controls and limits operations require
The published FSA framework includes specific rules on capital, client-asset safeguarding, advertising, cybersecurity and ongoing obligations. Capital, application fees and operational costs are different concepts. They must be budgeted by activity and structure; this page does not present a capital range as total cost or attribute blanket tax advantages to every IBC.
Appleby's January 2026 professional analysis documents increased scrutiny of substance and operational capability: procedures must correspond to actual systems and responsible officers. The FSA expects controls addressing specific risks rather than interchangeable documentation. Published prohibitions include mining facilities, mixers and tumblers; a licence for another activity does not displace them.
The 22 September 2026 Bitfinity notice illustrates the transitional limit: the FSA describes a late, incomplete application without the required fee, subsequent rejection and unauthorised operations. This is an individual enforcement action, not a sector-wide prohibition. It reinforces the need to verify current status and the specific decision before engaging a provider.
What to check before issuing or selecting a provider
First apply the classification test to the token’s rights, including whether its underlying asset is divided into interchangeable units. Then identify who issues and promotes the offering and who provides each service. Check those entities’ exact FSA status and permissions in destination markets.
The budget should include capital, fees, personnel, premises and effective controls. Prepare evidence that systems deliver what the application describes and that local officers can access records and handle complaints. An application under assessment requires checking its particular transitional conditions before attributing operating permission.

Key takeaways
- An IBC operating abroad is not automatically exempt.
- Assessment identifies an application under review, not final licensing.
- Tokens representing securities are classified outside the VASP perimeter.
- Local substance and controls must reflect actual operations.

Frequently asked questions
No. It identifies an application under assessment. Certain existing operators may continue under transitional conditions pending a decision; that status must not be presented as final licensing.
FSA FAQs state that Seychelles incorporation triggers licensing for covered services even when supplied from another country. Destination-market permissions also require checking.
The official tokenized asset test places that fractionalisation within securities regulation. Calling interchangeable units NFTs does not determine their treatment.
Yes. The authorisation FAQs provide for system demonstrations and evidence that procedures mitigate the business’s risks. A manual alone may not establish that capability.
No. The registration FAQs require each offering to be registered and distinguish who may promote it. Review the new product, authorised period and promoter.
