Mauritius distinguishes VASP licensing, initial token offering issuer registration and tokenized securities regulation. VAITOS requires local presence and management, with activity-specific categories. The August 2026 amendment strengthens oversight of investor solicitation, while the FSC has published final stablecoin guidance. Payment permissions and Bank of Mauritius conditions require separate assessment; neither incorporation nor one licence covers every business function.
A business seeking to issue a token from Mauritius finds a dedicated framework for virtual assets and ITOs, but first needs to determine whether its product belongs there. If it represents shares, debt or other securities, digital form does not automatically move it into the VAITOS regime.
The next decision concerns who issues, distributes, transfers and holds the assets. Mauritius separates those functions into licence classes and requires effective local management. That structure affects provider selection, resources and the project’s organisation.
When VAITOS applies and when securities law applies
The Virtual Asset and Initial Token Offering Services Act 2021, VAITOS, regulates providers and issuers operating in or from Mauritius. The regime began on 7 February 2022. Its definition excludes digital representations of securities and other financial assets within the Securities Act; tokenizing an instrument therefore does not allow the issuer to choose whichever licence is easiest.
The FSC's consolidated text incorporates amendments through August 2026. Section 34A prohibits soliciting, targeting or engaging investors in Mauritius for virtual asset transactions or ITO participation without the relevant licence or registration. It covers digital channels, advertising, intermediaries and referral links, with a broad presumption for publicly accessible communications.
How the FSC and central bank divide supervision
The Financial Services Commission, FSC, licenses VASPs and registers ITO issuers, alongside securities supervision within its remit. The official category list separates permissions and fees; paying a fee or incorporating a company does not amount to authorisation or establish sufficient regulatory capital.
The Bank of Mauritius retains banking and payment responsibilities. The final stablecoin guidance announced on 13 August 2026 incorporates regulatory coordination. Intended use determines whether additional central-bank involvement is needed: issuance, exchange services and use of a token as a payment instrument must be distinguished.
Which licence matches the provider’s function
The FSC catalogue distinguishes M, broker-dealer; O, wallet services; R, custody; I, advisory services; and S, marketplace. Classification must match the actual statutory function: transferring assets, holding control over them and operating a market are different activities. ITO issuer registration under section 23 does not replace the licences of intermediaries involved in distribution.
Sections 8–10 of VAITOS require a company, business documentation, resources, fitness and propriety, and physical premises; direction and management must take place in Mauritius. The FSC assesses where decisions are taken and by whom. Local authorisation is not a passport to market services abroad, where requirements need assessment before customer solicitation.
What holders acquire and what Class R may hold
FSC security-token guidance examines structure and rights, including shares, debt, derivatives and collective investment interests. Offering, trading and custody require their own regulatory assessment. An important qualification applies: VAITOS section 3(4) allows Class R custodians to hold security tokens or other instruments approved by the FSC, without bringing the entire product within the VAITOS virtual-asset category.
The token must specify the holder's right, the obligor and how the right is transferred or enforced. No general equivalence with registered land ownership has been established. For ITOs, sections 32 and 33 address claims for material misrepresentations and withdrawal; these acquisition remedies should not be confused with permanent liquidity or a guarantee of invested value.

Which controls apply to operations and solicitation
FSC implementing rules address capital, customer-asset custody, disclosure, advertising, risks, returns and the Travel Rule. Cybersecurity rules apply to providers operating in or from Mauritius and include business continuity. These controls are distinct from licensing and must reflect actual arrangements for keys, transfers, outsourcing and service recovery.
Stablecoin guidance addresses reserves, redemption, governance and holder protection. PwC Legal explains additional central-bank involvement for fiat-linked issuance and domestic payments, and that the FSC will not consider algorithmic or yield-bearing stablecoin applications. These restrictions prevent describing the framework as unrestricted permission for every stablecoin design.
How to prepare a structure with effective local management
Start the application file with the issued right and a map of functions: issuer, intermediary, custodian and any payment provider. Check each entity’s licence, registration and conditions; separate corporate resources from client assets and explain where decisions are taken.
For fundraising, also prepare offering information and distribution channels. Local licensing does not resolve destination markets, and ITO remedies do not guarantee liquidity. For stablecoins, confirm final guidance and banking responsibilities before finalising reserves, redemption and payment use.

Frequently asked questions
VAITOS section 3(4) provides for this possibility. The instrument, licence scope and relevant approvals require checking; this does not authorise every offering or marketplace.
No. VAITOS requires the relevant licence and addresses resources, personnel and effective supervision. Incorporation forms part of the application; it is not approval.
Section 10 requires physical premises and direction and management from Mauritius. The organisation must be substantive, not merely a postal address.
