Hong Kong licenses centralised virtual asset platforms and stablecoin issuers, with distinct SFC and HKMA responsibilities. Tokenized securities retain their financial regulatory framework. April 2026 circulars permit secondary trading of certain authorised products subject to pricing, liquidity and investor protection conditions.
In Hong Kong, a business needs to separate the asset it offers from the function it performs. A trading platform, stablecoin issuer and distributor of tokenized securities may follow different routes. Shared technology does not make their permissions interchangeable: the securities regulator and monetary authority intervene according to the activity.
This guide connects those routes with local solicitation and investor rights. It also separates licence grants, actual business launches and proposals still requiring implementation. For an offering, the platform operator matters alongside product documentation and the point at which transfer becomes final.
Which regimes cover platforms, securities and stablecoins
Hong Kong combines the Securities and Futures Ordinance, SFO, and Anti-Money Laundering and Counter-Terrorist Financing Ordinance, AMLO. The SFC distinguishes centralised platform regimes according to whether traded assets are securities. The perimeter covers local business and active marketing to Hong Kong investors; not every software application or token transfer constitutes a regulated platform.
The Stablecoins Ordinance, effective from August 2025, establishes a separate regime for fiat-referenced issuance. Territorial connections include local issuance, certain Hong Kong dollar-referenced tokens issued overseas and active marketing of the issuance business to the local public. Distributing a stablecoin and issuing it require separate regulatory assessment.
What the SFC and HKMA supervise
The Securities and Futures Commission, SFC, supervises platforms and securities activities within its remit. Its public lists distinguish licensed entities from applicants; filing is not final authorisation. Verification must cover the entity, permitted assets and licence conditions rather than assuming permission extends to every group company.
The Hong Kong Monetary Authority, HKMA, administers stablecoin issuer licensing. On 10 April 2026 it licensed Anchorpoint Financial and HSBC. The announcement expressly distinguished licensing from preparations for business launch. This demonstrates an effective authorisation route but does not establish that every proposed business will obtain the same outcome.
What an application or granted licence establishes
VATP applications use WINGS, with policies, procedures and external assessment documentation. Applicants may submit a consolidated application for SFO and AMLO licences. Coordination does not remove each activity's requirements or replace advice, management or financial product distribution permissions where these are required.
December 2025 and May 2026 consultation conclusions develop proposed regimes for virtual asset dealing, custody, advice and management. Those documents envisage subsequent legislation. This guide does not describe the proposed licences as already available or assume another service registration automatically covers those activities.
How tokenized securities are documented and traded
The 2023 tokenized securities circular preserves offering and conduct requirements for the underlying instrument. Tokenization does not automatically make a product complex or restrict every distribution to professionals; classification and offering exemptions require assessment. Fractionalising interests connected to real estate does not itself establish direct ownership of that property.
The April 2026 revised circular requires appropriate ownership records and disclosure of represented interests and settlement finality. Secondary trading of authorised products entails pricing, liquidity and operational controls, principally designed for open-ended funds on licensed platforms. This does not admit every token indiscriminately to the retail market.

What obligations issuers and intermediaries retain
The stablecoin licensing explanatory note addresses par redemption and reserve arrangements, including insolvency rights. Effectiveness depends on the legal structure and applicable conditions. Reserves, custody and anti-money laundering controls require coordinated assessment. Authorisation must not be presented as a guarantee of value or unconditional recovery.
The May 2026 circular distinguishes stablecoins issued and authorised under HKMA licences from other stablecoins. It introduces specific service adjustments while retaining stabilisation and redemption disclosure and relevant suitability requirements. Intermediaries must check notifications, licence conditions and segregation rather than extending that treatment to every token targeting a stable price.
What to prepare before offering a product in Hong Kong
Describe the product, issuer and distribution, trading and custody services. Identify which customers will be solicited in Hong Kong and check the entity, assets and conditions in the relevant registers. A published application or another group company’s licence does not establish the contracting party’s operational scope.
For tokenized securities, specify ownership records, settlement finality and failure recovery. For stablecoins, document issuer permission, reserves and redemption alongside the distributor’s permission. Also check whether later legislation has implemented proposals for other services: consultation conclusions do not establish that a new regime is available.

Frequently asked questions
April 2026 circulars permit certain trading in authorised products through licensed platforms, subject to pricing, liquidity, disclosure and customer protection conditions. They do not permit every token.
It does not replace HKMA issuer licensing. Issuance, distribution and trading have different requirements that must be checked by entity, token and activity.
The April 2026 tokenization circular requires appropriate additional controls for public permissionless networks, giving permissioned tokens as an example. Providers must demonstrate security, records and sound operations. Choosing a network does not remove product responsibility.
The tokenization circular retains provider responsibility for management, operations and ownership records regardless of outsourcing. Documentation and testing should cover contract integrity and its coordination with custodians and other participants.
The May 2026 circular requires the applicable statutory definition and issuance by an entity licensed under that regime, with the coin authorised under its licence. A price reference alone is insufficient. Intermediary adjustments must not be extended to tokens failing those conditions.
