Real estate tokenization in Spain: legal structure and practical 2026 guide
How to structure real estate tokenization in Spain: legal vehicle, token rights, MiFID II, liquidity, costs and risks to validate before issuance.

Real estate tokenization represents rights associated with a property-linked investment through tokens. A project can use different structures, such as debt or interests in a company. The investor’s position depends on that structure and the documents establishing it.
In Spain, understanding the model requires connecting the property, the entity raising funding and the rights received by investors. That relationship provides the basis for examining records, payments and transfer conditions. A token alone does not establish property ownership or guarantee income or a future sale.
What is real estate tokenization?
An issuance may represent shares, debt or other documented rights connected to a property. Payments, costs, maturity and transfer conditions depend on the instrument. Fractional technical representation does not guarantee access for every investor or reduce economic risk.
The represented right and property ownership
Transferring a token does not by itself replace the civil-law and registration requirements for transferring property. Distinguish ownership of the real estate, rights against the issuer and the securities register; each layer has its own effects and requirements.
One possible structure uses a special-purpose company that owns the property. It may issue an instrument connected to equity, debt or other rights, depending on the legal design. Investors need to identify the obligor, security, payment priority and restrictions rather than assuming all real estate tokens represent shares.
Classify the instrument before choosing technology
Classification requires an assessment of the product’s rights and characteristics. A financial instrument is excluded from MiCA under Article 2(4) and must be assessed under applicable securities rules. Calling something a real estate token does not settle its classification.
S.A. or S.L.: which company works for tokenizing
Article 92(2) of Spain’s Companies Act prevents S.L. interests from being treated as securities. S.A. shares have a different legal nature; DLT representation must comply with the applicable framework, including Law 6/2023. Legal analysis determines the company form and instrument, rather than a token standard.
How it works, step by step
- Selection and due diligence: the property is analyzed (ownership, charges, zoning, valuation) and the deal is structured.
- Transaction structure: identify the property owner, issuer and investor rights. If a special-purpose vehicle is used, document which assets and obligations it holds.
Technical design: choose contracts and transfer controls consistent with the documented rights. ERC-3643 is one option for permissions; it does not guarantee compliance by itself.
- Identification and admission: assign required checks to the responsible participants and verify that the investor and transfer meet the product’s conditions.
- Payments: execute and reconcile the instrument’s agreed obligations. Rent received by the company does not automatically become a distribution to token holders.
- Exit: establish whether a transfer mechanism exists, who may participate and which restrictions and costs apply. Having a token does not ensure a counterparty.
Liquidity: what the law says and what actually happens
The DLT Pilot Regime sets conditions for certain trading and settlement infrastructures. Its existence does not ensure an instrument is admitted, buyers are available or a sale can occur at the expected price. Check the actual exit mechanism, restrictions and costs.
How to compare real estate proposals
Compare the instrument documents, property title and encumbrances, costs, manager obligations and exit mechanism. An investment distributor and a company that develops contracts perform different roles. Our real estate tokenization provider guide distinguishes that scope and explains its criteria.
Real benefits
- Divisibility: allows smaller positions to be represented; the actual minimum investment depends on transaction terms and costs.
Access and distribution subject to the product, investor category and jurisdiction.
- Automation of defined operations, such as position allocation or payment instructions, with reconciliation of external systems.
- Traceability of recorded movements, with data access limited according to the architecture and applicable obligations.
Risks and limits, no marketing
- Liquidity risk: technical transferability does not guarantee a buyer, price or execution timeframe.
- Structure and tax: representing rights with tokens does not replace property acquisition requirements or determine the treatment of payments and transfers by itself.
- SPV and manager risk: you depend on the solvency and honesty of the company and whoever manages it.
- Valuation: the token price may differ from the value attributed to the property because of debt, costs, instrument rights and exit conditions.
Taxation, at a glance
Tax treatment depends on the instrument, transactions and investor circumstances. Distinguish property acquisition, company income and investor payments or transfers. Do not extrapolate the treatment of one token to every real estate product; check the current rules for the specific case.
From rent received to investor payment
Consider a hypothetical company that owns a leased commercial unit and finances part of its purchase through tokenised debt. Rent is company income. The funds available to investors depend on expenses, reserves, other obligations and debt terms. Presenting gross property rent as the token’s return would obscure that distinction.
Documentation should make the payment sequence understandable: what is collected, which expenses are deducted, who approves them and when an obligation to the investor arises. Variable remuneration needs a defined calculation and supporting information that holders can assess. Where a coupon is agreed, rent may fund it, but the two amounts are not the same measure.
The interface should distinguish forecasts, accrued amounts and reconciled payments. Each movement should be traceable to its period, document or triggering event. This helps investigate discrepancies; it does not establish that information supplied by the manager is correct.
Information throughout the project
As an evaluation criterion, establish reporting frequency, responsibility for updated valuations, changes requiring notification and evidence for exceptional expenses. The platform needs document access rules and version history, especially where several organisations participate in management.
Exit requires separate analysis: selling the property, debt maturity and transferring the token may follow different timelines and have different consequences. Before investing or developing the system, identify the events that allow a position to close and what happens if the expected schedule is not met.
The market today
Market size varies according to whether a dataset counts issuances, represented assets or tokens actually distributed. For a specific investment, rights, costs, risks and transfer conditions matter; a sector aggregate does not establish liquidity.
Start with the right and its documentation, then choose the recording system and technical controls. The Metlabs tokenization service addresses implementation within the scope defined for each project.
Key takeaways
- The documents define the right: a token may represent debt, shares or another instrument.
- A token transfer does not by itself replace property transfer requirements.
- Financial instruments fall outside MiCA; classification requires a product assessment.
- The DLT Pilot Regime does not guarantee admission, buyers or liquidity.
- Technical standards do not replace legal, tax and operational obligations.
