Wyoming has specific rules for digital property, bank custody, SPDI institutions and decentralised organisations. Certain virtual currency activities are exempt from state money-transmission licensing, while federal and other territorial requirements remain applicable. A bank charter, DAO formation and token issuance are distinct matters; none independently provides permission for every financial service.
Wyoming offers specific structures for bank custody, digital assets and decentralised organisations. Choosing one requires identifying its function: a DAO organises member relationships, while an SPDI charter authorises banking activity within its conditions.
Token issuance, custody and distribution to other states remain separate decisions. A state token launch or one entity’s access to Federal Reserve services does not automatically expand a private project’s powers.
How to choose between entity structures and banking permissions
Wyoming regulates digital assets through several frameworks rather than one blockchain licence. Title 34, Chapter 29, classifies digital assets and establishes property and custody rules. Title 13, Chapter 12, regulates special purpose depository institutions, SPDIs, while Title 17 addresses companies, securities and decentralised organisations. Each framework concerns a distinct activity or legal relationship.
Section 40-22-104(a)(vi) exempts specified purchases, sales, issuance, custody and transmission of instruments in virtual currency form from state money-transmission rules. This is not a general financial-regulation exemption. Services combining fiat and digital assets require examination of covered flows and any other applicable exemptions, alongside federal rules and those of the customer's jurisdiction.
Which authority supervises each activity
The Wyoming Division of Banking supervises state banks and the State Banking Board decides the charter applications within its remit. The official SPDI page evidences an open process and granted charters. One entity's authorisation does not establish equivalent coverage for every affiliate or product. Nor does a proposed business activity demonstrate that a service is actually available.
The Secretary of State administers company formation and state securities regulation. Federal anti-money laundering, securities and derivatives responsibilities remain applicable according to activity and are developed in the United States guide. Choosing a Wyoming registered office does not exclude the rules of states where customers are solicited or convert incorporation into product authorisation.
Which permission the business model requires
An SPDI charter permits banking activity within section 13-12-103. Custody and other incidental functions require examination of the commissioner's approvals; the statute expressly preserves federal requirements. The bank charter process includes investigation and a hearing, followed by approval, conditional approval or denial. This guide does not attribute a guaranteed opening timetable or universal capital amount sufficient for every model.
Section 13-12-105 requires unencumbered liquid assets covering at least 100% of depository liabilities. An SPDI is not an ordinary lending bank and must maintain its principal operating headquarters in Wyoming. This deposit requirement does not allow custodied cryptoassets to be used interchangeably as own resources. Reserves also do not establish FDIC insurance: each institution's actual coverage must be checked and disclosed.
On 4 March 2026, the Kansas City Fed approved a limited-purpose account for Payward Financial, trading as Kraken Financial, for an initial one-year term under conditions tailored to its risk. This evidences access granted to that entity. It does not give every SPDI automatic entitlement to an account or the full range of Federal Reserve services.
How holder rights are documented
Section 34-29-102 recognises digital assets as intangible personal property and distinguishes their Uniform Commercial Code treatment. Virtual currency is classified as money only for the purposes specified; this does not make it legal tender. Recording a token also does not itself transfer real estate or remove formalities applicable to the represented asset.
For corporate shares, sections 17-16-605 and 17-16-625 contemplate tokenized share certificates with specified information and issuance authorisations. An express legal connection with shares exists where those conditions are met. Separately, section 17-4-301 requires offering registration, an exemption or federal covered security status; section 17-4-401 regulates intermediaries. Digital representation does not replace these distribution requirements.
A DAO LLC under Chapter 31 requires formation documents, a registered agent and publicly available identifiers for smart contracts used in its management. Its rules can modify duties and restrict transfers or member exits. A DUNA under Chapter 32 is an unincorporated association with a nonprofit purpose and at least one hundred members. It can undertake income-generating activities under statutory conditions, but is not an ordinary profit-distributing company.
SF0022, Chapter 25 of 2026, effective from 1 July, amends association and DUNA rules. Current governance, administrator and winding-up requirements must be reflected in project documentation. Neither adopting this form nor using smart contracts automatically establishes federal tax exemption or resolves whether offered tokens are securities.

Which obligations continue during operations
Section 34-29-104 provides for sixty days' advance notice of bank custody and accounting, technology and federal requirements. The agreement determines custody arrangements, instructions and return of assets. Custodied assets are not the bank's own assets or liabilities under this framework, but arrangements differ in segregation and exposure: identical insolvency outcomes are not promised.
The provision requires disclosures concerning risks, material code changes and specified transactions for customers; prohibits rehypothecation on the stated terms; and limits discretionary action to authorised customer instructions. It also addresses stablecoin reserve custody and certain supervised trust companies. These powers do not make a custodian an authorised issuer of every stablecoin.
The state-issued Frontier Stable Token, FRNT, is beyond the study stage: the Stable Token Commission reported its launch in January 2026 and announced daily reserve attestations in May. These checks have a defined scope; they do not guarantee absence of loss or amount to comprehensive audits of every user or intermediary. The state programme does not provide a general licence for private issuers.
What to prepare before launching the project
Determine whether the project needs an entity structure, an appointed custodian or its own bank charter. Obtain evidence of the provider’s current permission conditions and map those powers to every contracted service.
For a DAO or DUNA, specify governance, responsibilities, exits and economic rights. For private issuance, also document the offering, eligible customers, custody and claims: using a Wyoming structure does not alone resolve those matters.

Key takeaways
- The money-transmission exemption does not remove federal rules or those of customers in other states.
- Fiat deposits and custodied digital assets receive different treatment.
- Kraken’s limited account approval in 2026 does not give other SPDIs automatic Federal Reserve access.
- DAO LLCs and DUNAs have different conditions and rights; forming either does not authorise a token offering.

Daily FRNT reserve attestations
The state commission announces independent reserve attestations; these do not guarantee absence of loss.
Frequently asked questions
No. Organisational documents govern the entity and members. Services and token offerings require their own analysis.
The charter and conditions must be checked. The SPDI page establishes an institutional route, not approval of every product advertised by any entity.
No. The decision concerns one entity and specific conditions. It does not establish automatic access for all SPDIs.
The commission announcement describes FRNT reserve checks. Their scope is not a universal guarantee of the token, intermediary or every transaction.
No. A private issuer must establish its own legal route and applicable issuance, distribution and custody obligations.
