Colorado applies securities and money-transmission rules according to the asset and the operator’s function. The specific Digital Token Act exemption was repealed in 2024 and is no longer an issuance route. The 2025 transmission reform, 2026 prudential rules and kiosk legislation require examining funds flows, permissions and customer protection. Control of a token has defined legal effects rather than automatically establishing ownership of an underlying asset.
For a business planning a digital asset platform in Colorado, the first decision is whether it will offer securities, transmit customer value or only supply technology. The state replaced its money transmission law and repealed the Digital Token Act exemption, so an older guide or filing may describe a route that no longer works for the project.
The next distinction is between a token as an electronic record and the economic right it carries. This guide connects both with state licensing, federal obligations and the operational safeguards the business needs to design.
Which rules replace the former Digital Token Act
Colorado combines securities, money-transmission and electronic-record property legislation. SB24-180 repealed the Colorado Digital Token Act with effect from 7 August 2024. The former exemption for certain consumptive tokens cannot support new offerings. Repeal does not automatically make every utility token a security: the transaction must be examined under the general framework.
HB25-1201 replaced the money-transmitters statute. DORA confirms application from 6 August 2025. Section 11-110-201 of Title 11 covers payment instruments, stored value and receiving money or monetary value for transmission. Monetary value need not be redeemable in money. Issuer obligations and actual flows require examination; avoiding dollars does not establish a general exemption.
What Banking and Securities supervise
The Division of Banking and Banking Board handle money-transmitter authorisation and supervision. The Division of Securities and its commissioner exercise state responsibilities for offerings, intermediaries and investment advisers under Article 51 of Title 11. Incorporating a Colorado company does not replace these procedures.
Federal obligations depend on activity and are discussed in the United States guide. State scope must be assessed alongside them: transmission permission does not validate securities offerings, deposit taking or every form of custody. Federal anti-money laundering registration likewise does not replace required state permissions.

How to determine the service’s market-access route
Section 11-110-501 requires a licence to provide, advertise or offer covered money transmission. It permits authorised delegation through a written contract and the exemptions in section 11-110-301. The payee-agent exemption requires an agreement, public identification of the agency relationship and discharge of the payer’s obligation when the agent receives funds, without shifting the agent’s failure-to-remit risk to the payer.
Applications must describe the actual service, responsible individuals and financial condition under Banking’s published process. NMLS, the Nationwide Multistate Licensing System and Registry, supports information filing; coordination under section 11-110-502 does not create universal territorial permission. Bank and securities-intermediary exemptions are also limited to the persons and activities specified by law.
For securities, sections 11-51-301 and 11-51-401 distinguish offering registration, notices and exemptions from intermediary or adviser requirements. A platform distributing tokenized interests must resolve both levels. Filing an old Digital Token Act notice does not replace this assessment or establish a federal exemption or permission to trade with every investor.
How digital control relates to legal rights
Article 12 of Title 4 governs certain controllable electronic records. Sections 4-12-102 and 4-12-105 connect control to powers over benefits, exclusion and transfer, with rules for shared control or control exercised through another person. A token appearing at an address is insufficient by itself: the system’s and custodian’s legal and technical powers must be examined.
Section 4-12-104 protects a purchaser obtaining control for value, in good faith and without notice of a property claim in the record. That protection does not automatically extinguish claims in other represented assets or rights, and some categories are excluded from the article. Tokenized debt, interests or real estate require identifying the issuer’s obligation, applicable register and formalities for transferring the underlying asset.

Which controls customer operations require
Rules 3 CCR 701-7 develop money-transmitter financial protection. MO2 sets availability and unencumbered-asset conditions for permissible investments; certain customer-benefit bank accounts qualify if held in the licensee’s name with beneficial owners and balances identified. MO3 requires quarterly NMLS reports. These provisions do not establish deposit insurance for every digital asset or independently determine insolvency outcomes.
MO9, effective from 14 June 2026, permits excluding assets presenting the specified risks from tangible net worth, examining parents and affiliates, and rejecting deficient or non-independent audits. The supervisor may require corrective measures. Accounting recognition of tokens or intragroup receivables does not guarantee full recognition as required financial protection.
SB25-079, applicable from 1 January 2026, requires crypto kiosk disclosures, customer acknowledgement and receipts. Daily transactions are limited to two thousand dollars for new customers and ten thousand five hundred for existing customers; a customer who has used the service for fewer than seven days is new. Pre-transaction disclosures cover fraud, fees, terms and responsibilities.
The law’s full refund requires the customer’s first virtual currency transaction, a destination wallet or exchange outside the United States, and notification to the operator and a government or law-enforcement authority within sixty days, with the required fraud evidence. Once the conditions are met, the operator must refund within seventy-two hours of notification. This is not a general guarantee against every loss or a substitute for other possible remedies.
What to define before starting in Colorado
The initial file should separate services moving money or value from issuance, distribution and custody. Include delegation or agency agreements, customer-access criteria, financial statements and a key-control diagram. Reassess the legal basis of any documentation relying on the former Digital Token Act before reusing it.
Confirm how the amended law treats the particular asset and which backing and net-worth requirements apply. A kiosk design also needs to distinguish new customers, limits and the evidence required to process a fraud claim.

Frequently asked questions
SB24-180 repealed that framework from 7 August 2024. A new offering needs classification and an available current route; retaining an old notice does not extend the exemption.
That conclusion does not follow from repeal. SB24-180 removes a specific exemption; the instrument and its offering must be classified under the applicable general rules.
DORA confirmed 6 August 2025 as the effective date of the reform and emergency rules. An operating model designed under the former text needs reassessment against subsequent provisions.
Electronic control analysis identifies actual powers over the record. Issuance documents also need to identify the right-holder, the person against whom it is enforceable and how both records are reconciled.
Check the contracting entity, its current permission and the functions it will perform. Also allocate responsibility for errors, complaints and refunds, and establish what happens to funds when the relationship ends.
